Responsibilities
- Negotiate various agreements with counterparties including fund managers and distribution agents.
- Draft and review of private fund offering materials, partnership agreements, and other private fund legal documentation.
- Assist with regulatory filings.
- Advise on the legal implications of offering new and existing products and services.
- Coordinate outside legal counsel with respect to a variety of issues including regulatory, corporate and fund investment work.
- Draft and review various contracts, non-disclosure agreements, and other legal documentation.
- Perform ad hoc research projects.
Qualifications
- 4+ years of legal experience within the investment management space (alternative investments, including in Private Equity and Hedge Funds), advising Canadian investment fund managers, portfolio managers and exempt market dealers on fund formation and related matters
- In-depth knowledge of Canadian securities laws, including registrant and investment fund regulation, and other regulatory frameworks relevant to the investment management industry
- Adaptable and entrepreneurial, able to learn new topics and work within the fast-paced, growing and constantly evolving structure of a high-growth company
- Member in good standing of Ontario Bar
- Top law firm background
- In-house experience at an asset management firm is a plus
- Strong interpersonal and leadership skills
- Organized and detail-oriented with big picture capability
