Cozen O’Connor seeks a mid-level associate attorney with three to seven years of experience to join the Canadian capital markets and securities practice.
The ideal candidate will be a self-starter with strong drafting and technical skills that is able to draft prospectuses, filing statements, information circulars and agency / underwriting agreements, proactively respond to client requests under tight time constraints and have a strong background and experience applying securities laws and exchange rules to daily client needs.
Experience in private M&A and taking a leadership role in preparing share purchase agreements and / or asset purchase agreements, will also be helpful in the consideration of any candidate.
Qualified candidates must be motivated to learn and grow as a lawyer and be prepared to get out of their comfort zone. Qualified candidates must also be prepared to work in a collegial and pleasant atmosphere.
Ontario Bar membership is required and memberships in other Canadian jurisdictions an asset. Please provide a recent deal sheet along with your resume.

We assist with public offerings, mergers and acquisitions, reverse takeovers, corporate restructurings and reorganizations, and qualifying transactions, as well as capital alterations and the preparation of documentation for related transactions.
We also serve as trusted advisers to boards and special committees on issues relating to corporate governance, compliance, and reporting obligations.
