Overview
As a seasoned legal professional who thrives at the intersection of law and business strategy, the General Counsel will provide legal advice and strategic support to the CEO, President & CFO, and executive leadership team. Supporting continuous growth, the General Counsel will oversee all legal matters across the business, including but not limited to, corporate governance, real estate transactions, commercial contracts, and legal risk management.
This is a critical role in helping the company navigate complex legal and regulatory frameworks while supporting innovation and business growth. The General Counsel will work closely with internal teams and external counsel to ensure legal excellence and practical business alignment.
Responsibilities
- Advise the CEO, President & CFO, and executive team on all legal matters impacting the organization, providing practical, business-minded legal counsel
- Draft, review, and negotiate a wide range of commercial contracts, including vendor agreements, service agreements, investment documentation, and NDAs
- Oversee corporate governance activities, including support for board meetings, shareholder matters, and maintaining corporate records and minute books
- Maintain and update Offering Memoranda (OMs) and other investor-facing legal documents, working closely with internal teams and external counsel
- Support real estate transactions, including acquisitions, dispositions, due diligence, and closing documentation
- Serve as liaison to external counsel, managing scope, cost, and delivery of specialized legal support
- Provide legal support on employment law, privacy, IP, and risk management issues as needed
- Stay current with evolving laws and regulations related to securities, exempt market dealers, and private equity - and assess their impact on business operations
- Assist with legal aspects of strategic initiatives such as M&A, corporate structuring, and launching new funds or products
- Respond to legal inquiries regarding provincial licensing and investor-related legal concerns
- Handle general and ad hoc legal projects or regulatory queries from internal stakeholders
- Oversee preparation and submission of all annual and ad-hoc corporate filings, ensuring compliance with applicable corporate and securities laws
- Coordinate with third-party legal counsel on regulatory filings, corporate updates, and legal documentation
