Working with other law clerks, articling students, lawyers and clients, it is expected that the candidate will be able to manage a high volume of work with tight turnaround times.
Key Responsibilities
- Handling all aspects of incorporations, amendments, dissolutions, revivals, wind-ups, continuances, short and long form amalgamations, both provincial and federal, as well as the formation and organization of limited partnerships
- Drafting resolutions, notices, agreements, and other ancillary documents connected with complex transactions for domestic and foreign entities
- Supporting transaction teams in asset / share purchase and sale transactions and closings
- Preparing and filing all registrations, amendments and returns required under applicable legislation
- Administering the MinuteBox database including data entry and maintenance of company information as it relates to compliance matters
- Drafting complex share provisions
- Overseeing annual maintenance and corporate filings
- Conducting basic and complex minute book and corporate records reviews, recommending a course of action to rectify deficiencies and drafting necessary documentation
- Liaising with lawyers, students, clients and extra-provincial agents while providing high-quality, professional service
- Identifying and resolving various corporate related issues
Required Knowledge and Experience
- Successful completion of the Institute of Law Clerks of Ontario (ILCO) course or a law clerk certificate / diploma (equivalent) offered by a recognized Ontario educational institution
- 5-8+ years of corporate law clerk experience working on a variety of complex corporate transactional matters
- Excellent working and practical knowledge of laws / legislation relevant to corporate practice, including OBCA, CBCA, LPA, BNA and CIA
- Experience with maintaining databases and online filings
- Technical proficiency using the entire MS Office Suite and MinuteBox (preferred)
- University degree is an asset
