Job Title : Paralegal Location : Greater Toronto Area OR Quebec

The role will provide support to the business’ everyday legal needs, ensuring compliance with laws and regulations, being the interface with our legal department, and contributing to the overall success of the Company.

Responsibilities : ·Legal Research and Analysis : Conduct thorough legal research and analysis on a wide range of issues to support the legal team in making informed decisions.

  • Contract Management : Draft, review, and manage contracts, agreements, and legal documents, ensuring accuracy, completeness, and compliance with applicable laws and regulations.
  • Litigation Support : Assist in the preparation and management of legal documents for litigation matters, including gathering relevant information, organizing exhibits, and liaising with external counsel.

Compliance : Monitor changes in laws and regulations relevant to the industry and assist in ensuring company-wide compliance.

Develop and update internal policies and procedures as needed. ·Corporate Governance : Support corporate governance activities, including the preparation of board meeting materials, resolutions, and maintenance of corporate records.

  • Legal Correspondence : Draft and review legal correspondence, including letters, memoranda, and reports. Maintain a well-organized system for tracking and responding to legal inquiries.
  • Collaboration : Work closely with internal teams to provide legal guidance and support on various business initiatives.

Collaborate with external legal counsel as necessary. ·Confidentiality : Maintain strict confidentiality and handle sensitive information with discretion.

  • Admin : Assist with various office and corporate-related finances and admin Qualifications : ·Bachelor's degree and / or Paralegal Certification from an accredited institution.
  • Experience with corporate and fintech, and financing laws, and investments would be an asset·Proven experience as a paralegal in a corporate legal department or law firm.
  • Strong knowledge of legal research methods and databases.·Excellent written and verbal communication skills.·Proficient in Microsoft Office Suite and legal case management software.
  • Ability to work independently, manage multiple tasks, and meet deadlines.·Strong attention to detail and organizational skills.

  • Gestion des contrats : Rédiger, réviser et gérer des contrats, des accords et des documents juridiques, en veillant à ce qu'ils soient exacts, complets et conformes aux lois et réglementations en vigueur.
  • Soutien aux litiges : Aider à la préparation et à la gestion des documents juridiques relatifs aux litiges, notamment en rassemblant les informations pertinentes, en organisant les pièces à conviction et en assurant la liaison avec les avocats externes.

Conformité : Suivre l'évolution des lois et des réglementations applicables au secteur et contribuer à assurer la conformité de l'ensemble de l'entreprise.

Élaborer et mettre à jour les politiques et procédures internes en fonction des besoins. - Gouvernance d'entreprise : Soutenir les activités de gouvernance d'entreprise, y compris la préparation des documents pour les réunions du conseil d'administration, les résolutions et la tenue des registres de l'entreprise.

Correspondance juridique : Rédiger et réviser la correspondance juridique, y compris les lettres, les mémorandums et les rapports.

Maintenir un système bien organisé de suivi et de réponse aux demandes de renseignements juridiques. - Collaboration : Travailler en étroite collaboration avec les équipes internes afin de fournir des conseils et un soutien juridiques sur divers sujets.
