123Dentist is now recruiting an experienced Corporate Legal Counsel to join its high-performing and dynamic Legal Department, based at our Head Office in Toronto .

Reporting directly to the Vice President and General Counsel, the successful candidate will work closely with the operations and in-house corporate development teams to provide general legal support to 123Dentist and its rapidly expanding countrywide network of dental practices.

In this newly created role, you will have the opportunity to become a true generalist . The role will primarily consist of legal-related work across a number of strategic and operational imperatives, including real estate, corporate and M&A, employment, corporate governance, risk management and compliance matters.

This is an on-site position.

Position Overview :

  • The ideal candidate will have 2 to 4 years of broad corporate / commercial experience gained at a leading law firm or corporation.
  • Strong communication, drafting and negotiating skills, as well as being a team player and having sound business judgment, will be important.
  • A desire to learn and broaden their skillset, as well as a demonstrably strong client service orientation, are essential characteristics needed to succeed in this role.

Responsibilities :

  • Provide strategic legal guidance to the company and its network of dental clinics across a wide range of legal matters, including to the Operations, Corporate Development, Business Development, Human Resources, Marketing and Finance Departments.
  • Assist with day-to-day corporate legal matters, including real estate (leases, lease renewals and lease extensions), employment (contract drafting and disputes), corporate (share subscriptions, corporate resolutions and corporate secretary work), commercial (commercial agreements and negotiations), and risk mitigation (dispute resolution, and complaint and litigation management).
  • Oversee regulatory matters and coordinate with the 123Dentist dental practice community to ensure adherence to all applicable laws and regulations, including privacy, marketing and dental regulations.
  • Assist on M&A transaction-related matters, including supporting acquisition activity, drafting acquisition documents and overseeing post-closing integration.
  • Work with external legal counsel as required and effectively communicate advice to business departments as needed.
  • Work collaboratively within the Legal Department and other internal departments to align legal strategies with business objectives.

Qualifications :

  • Bachelor's degree and JD / LLB.
  • Membership in good standing with the Law Society of Ontario (or another Provincial equivalent).
  • 2 to 4 years of strong corporate law experience gained at a well-regarded law firm or organization.
  • Proven familiarity with broad legal disciplines (e.g., corporate law, commercial contracting, employment law, real estate, litigation and regulatory matters).
  • Understands the role the legal function can play in supporting business objectives.
  • Ability to view commercial, business and risk issues through a legal lens.
  • Strong drafting, communication, analytical and organizational skills.
  • Outstanding attention to detail with little reviewing required.
  • Independent self-starter who can hit the ground running with minimal supervision.
  • Works well in a small team environment.
  • Highly driven, with a natural bias to action.
  • Thrives under pressure and thinks sharply on their feet.
  • Experience managing multiple priorities in a fast-paced, high-deal flow environment and comfortable owning a transaction end-to-end.
  • Ability to practice law in French would be a major asset.
