Position Job Title : Legal Counsel

Reporting to : Senior Legal Counsel

Level : 4-5PQE

Location : Vancouver or Toronto

Company Overview :

Our client is an international network of higher education institutions which has a global presence with campuses in Europe, Asia and North America.

Main Function of Job :

Commercial

  • Structuring, drafting and negotiating commercial agreements, such as platform agreements, licences, terms & conditions, service agreements, partnership agreements with universities, representative agreements, license agreements etc.
  • Working directly with the sales operations, marketing and procurement teams.
  • Ensuring that all agreements are commercially and legally sound and in line with head office requirements.
  • Carrying out negotiations with customers / suppliers, partner universities, agents etc.
  • Managing external counsel and corporate services providers

This is a varied generalist role dealing with a wide range of general commercial work including Commercial Contracts, IP & Media, Litigation and Property.

A high percentage of the work would be the drafting, reviewing and negotiating of a wide variety of commercial contracts.

Corporate

  • M&A experience
  • Good understanding of company law
  • Experience in banking / capital markets is beneficial but is not a requirement

Ideal candidate must have :

  • Excellent academics and good training from a recognised Canadian firm
  • Solid commercial experience
  • Multitasking skills
  • Able to work in a fast-paced and dynamic environment
  • Be a client-facing and entrepreneurial team player
  • Comfortable working alongside other senior lawyers on complex matters or running their own matters independently.
