Job Description

Reporting directly to the CEO, the position of General Counsel at Tenet is ideal for a lawyer with strong technical skills, business instincts, takes a hands on approach to problem solving and can handle working on mandates just as well independently as in coordinated group settings involving different business units or the company’s external counsel.

The ideal candidate will have no less than 5 years of top-quality experience working on a variety of assignments, including mergers & acquisitions, financing, securities related matters, corporate governance and corporate reorganizations.

The candidate will also be required to negotiate and prepare agreements and other legal documentation, provide advice on the legal risk and impact of business decisions and ensure compliance with applicable laws and the company’s continuous disclosure obligations in Canada.

What You'll Do

  • Act as a business partner and corporate officer of the executive management team
  • Lead and manage the in-house legal department
  • Act as a representative of the corporation when dealing with third parties, including outside counsel
  • Be a key negotiator for strategic transactions
  • Provide accurate legal guidance to the executive staff on all matters that affect the company
  • Manage the compliance, risk management and legal services groups
  • Attend executive level meetings related to the future direction of the company, pending mergers and acquisitions, and changes in policy
  • Create vendor contracts and contractor agreements
  • Ensure that the company is in compliance with all current business process laws

What You'll Need

  • 5-8 years of relevant experience in corporate and business law in a large company or top-tier law firm
  • Must have public company experience, including dealing with the regulators at the AMF, OSC, SEC and with the exchange (CSE & NASDAQ)
  • Strong analytical ability, attention to detail and interpersonal skills
  • Pragmatic judgment, particularly in determining the significance of legal matters and effectively balancing legal and business imperatives
  • Effective organizational skills in order to prioritize and manage multiple time-sensitive projects simultaneously
  • Excellent written and oral communication skills, with ability to synthesize complex legal issues to make them accessible to a variety of internal clients
  • Ability to interface and communicate effectively with management and colleagues in English and French
