Summary

Reporting to the Vice-President, Legal Affairs, and Corporate Secretary , the incumbent acts as Legal Counsel and Assistant Corporate Secretary for the Company and its subsidiaries, mainly in corporate and securities law, as well as in the administrative management of the company’s corporate secretariat.

Main Tasks and Responsibilities

  • Provide legal advice and opinions, on corporate law, governance, securities, and corporate responsibility issues (ESG), as well as on any other matter required for effective decision-making.
  • Manage the Company’s portfolio of affiliated companies from a legal perspective.
  • Assist the company in the application of laws, policies, and regulations to which the Company and its affiliated entities are subject, including compliance and ensuring that reports and filings are made to the appropriate authorities on time.
  • Draft and review disclosure documents required by regulatory requirements, particularly those relating to securities.
  • Monitor legal, regulatory, and jurisprudential changes in corporate, governance, ESG, and securities matters that may affect the Company.
  • Be involved in the company’s strategic files, particularly in financing and corporate reorganizations.
  • Support the Vice-President, Legal Affairs, and Corporate Secretary in all tasks relating to the corporate secretariat, governance, compliance, and the legal affairs department in general.
  • Perform all tasks related to the corporate secretariat, including the preparation of corporate documents required for the creation and existence of the Company and its affiliated entities.
  • Supervise the paralegal.
  • Negotiate, draft, and give opinions on various commercial contracts.
  • Coordinate certain mandates entrusted to lawyers in private practice.
  • Perform any other related tasks.

Required Qualifications

Education

Member of the Bar

Professional Experience

At least five (5) years of relevant experience in corporate and securities law

  • Knowledge of Office suite software

  • Bilingualism essential (French and English, spoken and written) (processing documents in English and interacting with people in other Canadian provinces and outside Canada)
