Reporting to the Vice-President Legal Services, General Counsel and Corporate Secretary, the Assistant Corporate Secretary plays a key role in providing support to the Board of Directors for the day-to-day and recurring operations and the provision of advisory, and governance expertise to the Corporate Secretary, the Senior Management Committee (SMC), and the Board of Directors and its committees.The Assistant Corporate Secretary supports the planning and management of the governance function, maintains strong relationships across CCC, and with various central agencies of government, with regard to corporate governance of CCC.

What you’ll be doing

  • Responsible to deliver governance advice necessary to the proper conduct and discharge of the Board of Directors’ fiduciary obligations owed to the Corporation
  • Provides strategic guidance to the Corporation, SMC and the Corporate Secretary on governance related matters including in the preparation of and conduct of Board of Directors’ and committee meetings
  • Draft and present legal interpretation of Crown Corporation governance obligations under the Financial Administration Act, the CCC Act, and By-Law No. 1 of the Corporation to the Board of Directors, SMC and the Corporate Secretary.
  • Reviews and updates governance-related documents, including Terms of Reference, workplans and relevant corporate policies to ensure compliance with legislation, Treasury Board Secretariat guidance and best practices, presenting to the Board of Directors for review and approval.
  • Prepares meeting agendas according to Terms of Reference, workplans and action items and presents for approval of senior management and Board and Committee Chairs.
  • Attends Board and Committee meetings as recording secretary and maintains corporate record of decisions and discussions, including drafting of all Board resolutions, minutes, and attendance documents and forward planning for action lists and implementation of Board decisions.
  • Assists in the collection, review and quality assurance for all materials presented to the Board by Management, including strategic advice and quality checks to ensure Board information needs for decision-making are met; and ensures appropriate access through Board portal to provide access to materials.
  • Maintains documents, profiles and matrixes to support Board succession planning and recruitment through central agencies, as well as appointment processes for Board Committee assignments and record of membership.
  • Prepares documentation for external stakeholders (Global Affairs Canada, news releases), to ensure appropriate messaging and flag disclosure issues, and arranges orientation sessions and continuing education programs to ensure appropriate information is shared by all Board members.
  • Anticipates and addresses CCC’s corporate governance needs to stay current with emerging trends and best practices in the area of corporate governance.

What you’ll bring to CCC

  • Completion of a bachelor's degree in finance, accounting, business administration, law or other related field;
  • Consideration will be given to candidates with Admission to the Law Society of Ontario and are in good standing, or a relevant certification (e.g. Governance Professional of Canada - GPC.D)
  • Minimum of 3 years’ experience working in Corporate governance or federal public service/Crown corporations;
  • Knowledge of Board governance and related practices, processes, policies, and procedures
  • Knowledge of MS365, as well as the broader CCC, its internal departments, and business lines
  • Knowledge of office productivity software and databases, discipline-specific software (e.g. Diligent Board Books), enterprise software, and technology devices
