Contracts Specialist

We are currently seeking a Contracts Specialist for a 15-month fixed term (maternity leave coverage) on behalf of a premier client in the industrial manufacturing sector. Working closely with executive leadership—including the Chief Operating Officer (COO) and VP of Sales—this dynamic role provides end-to-end legal support, contract administration, and corporate secretarial governance. As a trusted advisor, you will directly draft, review, and negotiate commercial agreements (vendor contracts, P.O.s, NDAs), ensure statutory compliance, and serve as the critical bridge between sales, procurement, finance, and global stakeholders.

Responsibilities
• Draft, review, revise, and negotiate complex commercial contracts, including vendor agreements, customer agreements, service contracts, master services agreements, and non-disclosure agreements (NDAs).
• Partner directly with internal stakeholders, including executive leadership, the COO, VP of Sales, procurement managers, and regional sales teams to ensure contracts fulfill operational goals and manage risk exposure.
• Review customer purchase orders (P.O.s) to ensure alignment with corporate terms, conditions, pricing structures, and risk guidelines prior to formal approval.
• Translate complex legal terminology and contractual provisions into practical, actionable guidance for internal business units and departmental leaders.
• Lead or participate in contract negotiations with clients, vendor partners, and third parties via phone, video conferences, and written correspondence.
• Identify potential legal, financial, and operational risks within contractual obligations and propose innovative risk mitigation strategies and commercial solutions.
• Maintain and administer a comprehensive corporate contract database, tracking repository, and physical/digital filing system to ensure seamless document retrieval and contract lifecycle management.
• Facilitate corporate secretarial functions, including corporate filings, statutory record compliance, maintenance of corporate governance registers, and drafting/filing of board meeting minutes.
• Assist in preparing corporate annual reports, compliance documentation, and governance disclosures in accordance with regulatory standards.
• Monitor global legal, political, and regulatory developments to advise senior management on potential risk exposures and recommend proactive policy updates.
• Conduct Security Trade Control (STC) checks and oversee international trade compliance assessments for commercial transactions.
• Collaborate with external legal counsel, parent company legal teams, and sister organizations to minimize organizational liability and legal exposure.
• Provide ongoing contract management training, compliance workshops, and legal guidance to internal staff regarding best practices and policy adherence.

Qualifications
• Proven expertise in commercial contract drafting, legal analysis, proofreading, and contract lifecycle management within industrial or manufacturing settings.
• Comprehensive knowledge of contractual law, commercial law principles, corporate governance structures, and risk management framework controls.
• Strong negotiation, communication, and interpersonal skills to build trust with executive leadership, clients, external legal counsel, and cross-functional teams.
• Superior problem-solving abilities with the capacity to balance legal protection with commercial and business objectives.
• High attention to detail, precision, and accuracy in managing complex legal documents and corporate records.
• Experience utilizing customer relationship management software (e.g., MS CRM), legal databases, and digital contract administration tools.
• Proficiency in Microsoft Office Suite, including Microsoft Word, Excel, PowerPoint, and Outlook for legal document creation and formatting.
• Independent research skills to investigate emerging legal issues, regulatory changes, and compliance requirements.
• Strong organizational, multitasking, and time-management capabilities to manage multiple high-priority contracts simultaneously under tight deadlines.
