PRINCIPALES RESPONSABILITÉS

  • Relevant du (de la) Premier(ère) directeur(rice), Affaires juridiques, le(la) titulaire sera appelé(e) à offrir des conseils et des services juridiques de premier ordre en ce qui a trait à la conformité réglementaire des activités de placement et d’entreprise de PSP, ce qui inclut la conformité aux lois, règles et règlements régissant les valeurs mobilières :
  • Conseiller les équipes de PSP sur les questions de réglementation, notamment les obligations en vertu des lois sur les valeurs mobilières.
  • Fournir conseils et soutien sur les programmes de dette de PSP et les rapports sur la durabilité.
  • Contribuer à la révision de la gestion des investissements et d'autres types d'accords relatifs à la gestion des investissements des actifs par PSP.
  • Participer aux initiatives de l’entreprise, y compris diriger ou participer à des groupes de travail, et rédiger et réviser des politiques, des procédures, des programmes de conformité et processus.
  • Coordonner et superviser l’exécution du travail de nature juridique effectué par les avocats externes autorisés partout dans le monde conformément aux politiques internes.

EXIGENCES

  • Diplôme universitaire en droit
  • Membre du Barreau d’une province ou d’un territoire du Canada
  • Cinq (5) à dix (10) années d’expérience pertinente à titre d’avocat(e), dans le domaine du droit des valeurs mobilières, des transactions corporatives, acquise dans un cabinet privé ou au service des affaires juridiques d’une grande entreprise.
  • Expérience en valeurs mobilières et avec d’autres régimes de conformité réglementaire, un atout
  • Ardeur au travail, proactivité, et haut niveau de professionnalisme et d’autonomie
  • Excellentes aptitudes pour la communication et les relations interpersonnelles

    ROLES AND RESPONSIBILITIES

  • Reporting to the Senior Director, Legal Affairs, the incumbent will provide high quality legal advice, guidance, and services, with respect to regulatory compliance of PSP’s investment and corporate activities, including in relation to compliance with securities laws, rules, and regulations.
  • Provide advice to PSP teams with respect to securities laws and other regulatory matters
  • Provide advice and support on PSP's debt programs and sustainability reporting.
  • Contribute to the review of investment management and other types of agreements relating to the investment management of assets by PSP
  • Participate in corporate initiatives, including leading or participating in working groups, and drafting and reviewing policies, procedures, compliance programs and processes
  • Coordinate and supervise the legal work performed by approved external legal counsels worldwide in accordance with internal policies
  • QUALIFICATIONS

  • University degree in Law
  • Member of the Bar Association of any of the Canadian provinces or territories.
  • Five (5) to ten (10) years of relevant experience as a lawyer in securities law and / or corporate transactions gained in private practice or as in-house counsel for a large organization.
  • Experience in securities laws and other regulatory compliance regimes is an asset
