The Ontario Securities Commission (OSC) is the statutory body responsible for regulating Ontario’s capital markets in accordance with the mandate established in the provincial Securities Act and the Commodity Futures Act. The mandate of the OSC is to provide protection to investors from unfair, improper or fraudulent practices, to foster fair, efficient and competitive capital markets and confidence in the capital markets, to foster capital formation, and to contribute to the stability of the financial system and the reduction of systemic risk. This mandate is performed through policy, operational, and enforcement activities. The OSC also contributes to national and global securities regulation development.

The Ontario Securities Commission (OSC) is the statutory body responsible for regulating Ontario’s capital markets in accordance with the mandate established in the provincial Securities Act and the Commodity Futures Act. The mandate of the OSC is to provide protection to investors from unfair, improper or fraudulent practices, to foster fair, efficient and competitive capital markets and confidence in the capital markets, to foster capital formation, and to contribute to the stability of the financial system and the reduction of systemic risk. This mandate is performed through policy, operational, adjudication and enforcement work. The OSC also contributes to national and global securities regulation development.

The Enforcement Division of the Ontario Securities Commission investigates and litigates breaches of securities laws in Ontario. Team members work closely with other securities regulators, self-regulatory organizations and law-enforcement agencies to enhance initiatives to fight misconduct. A strong visible enforcement presence assists in protecting investors from unfair, improper or fraudulent practices, fosters fair, efficient and competitive capital markets, fosters capital formation, and contributes to the stability of the financial system and the reduction of systemic risk.

This opportunity is considered to be a business critical role supporting the Enforcement Division.

Key Duties and Responsibilities

  • Researches, locates and retrieves civil/criminal files and records.Reviews and analyzes evidence and documents, identifying key and potential privileged documents, for purposes of preparing summary reports for review by investigator/counsel.Assembles and organizes relevant documentary evidence from multiple sources for specific files, compiling interview transcripts, preparing control indexes, and drafting /revising documents.Provides support in the preparation of search warrants, information to obtain, production orders, affidavits, orders and directions, maintaining files, and tracking summonses and responses.Works with investigative team to review, address and submit requests for assistance from other regulators across Canada and internationally.
  • Reviews and organizes relevant electronic disclosure documents, ensuring materials are scanned, indexes are prepared, affidavits of service are prepared and ensuring electronic tools are effectively utilized and duplicates eliminated.Redacts personal and confidential information in accordance with practice directions and law to ensure personal and confidential information is protected.
  • Prepares, serves and files motions/application materials, with the Commission and the Courts.Prepares correspondence, pleadings documents and settlement/appeal submissions.Provides support in the review of transcripts/witness summaries, identifying discrepancies, updating charts, providing schedules and preparing binders.Serves, receives and files court documents as required.Prepares eHearing briefing indexes in partnership with eDiscovery and Analytics team.Conducts research and ensures necessary documents are procured and copied.Ensures evidence documents/materials are assembled, available and maintained.Attends hearings/trials, handling exhibit documents/materials, running hearing database, and maintaining proceedings logs.Testifies before a Panel of Commissioners during the course of hearings.Recognized as a Commissioner of Oaths.
  • Prepares, reviews and organizes court documents, briefs, summons and affidavit documents, warrants, and submissions for hearings, trials, and post hearings/trials.Ensures all relevant documents and redactions are captured electronically.Liaises with witnesses, opposing counsel, Secretary’s Office and court reporters.Manages file closing activities, ensuring files are indexed and organized for storage and that filing system meets Branch requirements.
  • Reviews orders and consults with partners for cases in other jurisdictions to conduct case selection and, if appropriate, bring matters forward for reciprocal proceedings.Analyzes information/data, identifying appropriate matters for reciprocation using established criteria.Prepares correspondence and ensures all filings and service are completed as required.
  • Develops sound relationships with court officials/Secretary’s Office to assist in resolution of issues with regards to scheduling and information exchange.

Qualifications

  • Completion of a 2 year Law Clerk Program in a Community College required
  • Member in good standing with the Institute of Law Clerks of Ontario (ILCO) or would qualify for ordinary membership
  • Experience using eDiscovery and litigation management software, including Relativity, is strongly preferred.
  • 5 years experience with a law office, government agency or other entity in a capacity of function which involves the performance of duties of an administrative or managerial nature under the guidance of a lawyer, or equivalent combination of education and experience
  • Knowledge of the Ontario Securities Act, the Commodity Futures Act, the Criminal Code and related legislation.
  • Knowledge of the securities regulatory environment.
  • General knowledge of the Charter of Rights and Freedoms, Freedom of Information Act, Personal Information Protection and Electronic Documents Act, Provincial Offences Act, Canada and Ontario Business Corporation Acts, Bankruptcy Act, Canada and Ontario Evidence Acts, Statutory Powers and Procedures Act.
  • Ability to analyze problems,
  • Excellent organizational, tracking, task-prioritization and multi-tasking skills with the ability to prioritize tasks to meet strict deadlines.
  • Well-developed proof-reading, legal drafting/writing and administrative skills.
  • High level of attention to accuracy and detail.
