Client Profile
Our client a leading national business law firm is currently seeking an experienced Senior Corporate Law Clerk to join its Toronto office. This is an excellent opportunity for a seasoned corporate professional to work on sophisticated transactions complex reorganizations and high-level corporate matters within a highly regarded team.

This role also provides the opportunity to take on a senior position within the corporate group act as a resource to other clerks and students and contribute to the continued development of the team.
Duties & Responsibilities
Draft a broad range of corporate legal documents including closing agendas agreements resolutions and ancillary documentation.
Support complex corporate and tax-driven reorganizations share and asset transactions mergers and acquisitions amalgamations plans of arrangement amendments dissolutions and continuances.
Review and draft multiple-class share provisions and related corporate documentation.
Conduct complex minute book reviews and prepare detailed review memoranda.
Identify corporate record deficiencies and prepare documentation required to rectify and reorganize minute books.
Prepare annual maintenance documentation including ISC and transparency register filings for Ontario federal and extra-provincial entities.
Provide advanced support to lawyers in connection with the planning organization and execution of large corporate transactions.
Prepare and complete provincial and federal corporate filings.
Draft documents relating to federal and provincial not-for-profit corporations.
Communicate directly with clients and external professionals while independently managing assigned files.
Act as a resource to other corporate law clerks legal assistants and students on complex corporate matters.
Share knowledge procedures and best practices across the corporate services team.
Assist with the preparation and delivery of internal continuing legal education on general corporate matters.
Maintain organized files monitor deadlines and ensure all corporate and transactional requirements are completed accurately and efficiently.
Requirements
A minimum of 6 years of experience as a Corporate Law Clerk within a large or sophisticated law firm environment.
Extensive experience with complex corporate transactions tax-driven reorganizations mergers and acquisitions and corporate maintenance matters.
Advanced knowledge of Ontario and federal corporate law procedures and filing requirements.
Experience conducting complex minute book reviews and rectifying corporate record deficiencies.
Experience working with corporate database systems.
Ability to independently manage files and exercise sound judgment on complex corporate matters.
Excellent organizational drafting verbal and written communication skills.
Ability to prioritize multiple deadlines and thrive in a fast-paced professional environment.
Professional communication skills with the ability to interact effectively with lawyers clients and colleagues at all levels.
Ability to work independently while contributing collaboratively as part of a team.
Law Clerk diploma from an accredited Ontario college or completion of the Institute of Law Clerks of Ontario certification.
