Job Summary

Reporting to the Senior Manager, Operations & Corporate Performance, the Contract Specialist is responsible for the day-to-day contracting functions of the organization, including contract development, refinement, management, execution, and retention process. Working closely with other CABHI staff and divisions, this role will support contract development, refinement, and oversight for all CABHI programs, projects, activities, and initiatives. The Contract Specialist will also support the program teams through the processing of program related reporting for review and sign off by management, and by facilitating standing meetings.

This role will liaise with Baycrest internal Legal Counsel, coordinate with stakeholders across the organization to support contracting within the Baycrest Group of Companies, and will engage with parties and companies external to CABHI. This role will also support various operations related administrative functions, ad hoc requests, or special projects from time to time as required.

Key Responsibilities

  • Prepare and negotiate agreements and letters for CABHI including but not limited to; program funding agreements, simple agreements for future equity (SAFE), royalty agreements, warrant agreements, collaborative funding agreements, shareholder agreements, side letters, service agreements, purchase agreements, memorandums of understanding, non-disclosure agreements, Notice Letters, and other legal documents as required.
  • Assist the Senior Manager, Operations & Corporation Performance, in reviewing new, or changes to existing programming, and the resulting required agreement templates.
  • Provide input and communicate with program managers within CABHI’s Innovation Office regarding agreement terms and conditions.
  • Work with in-house and external Legal Counsel on revision of agreement terms, where required, and negotiate with counterparts.
  • Work with external agencies, collaborating organizations, colleges/universities, research institutes, and seniors care partners on agreement development and negotiates terms.
  • Ensure any financial components of an agreement is aligned with CABHI programs, including any program-specific terms and conditions, eligible expense guidelines, in-kind contribution guidelines, and any other financial or legal requirements of the CABHI Finance Office.
  • Facilitate execution processes on agreements externally and internally.
  • Maintain, refine, and update centralized contract repository accessible by key CABHI staff.
  • Process and export program reporting and change requests for signoff by leadership and archival records.
  • Facilitate program operations discussions by chairing weekly meeting.
  • Provide input on program operational system processes for improvement and re-development.
  • From time to time, provide input, where required on operating plans, annual reports, or other reporting to funding agencies, government, or external parties.

Key Qualifications

  • Undergraduate degree in business administration, health administration, or with related work experience in a legal/paralegal environment
  • Paralegal specialization or certification an asset
  • Minimum three to five years of practical and related experience drafting, interpreting, and negotiating contracts
  • Minimum one to two years of experience in the healthcare, research, innovation, or equivalent field
  • Experience with tech transfer, knowledge transfer, and commercialization agreements would be an asset.
  • Excellent communication, reporting and presentation skills and an ability to cope in stressful situations.
  • Attention to detail and the ability to translate research/innovation/commercialization concepts into legal language within contracts
  • Excellent interpersonal skills and ability to develop productive relationships with co-workers, innovators, researchers, clinical, and support staff.
  • Evidence of a strong customer service approach, professionalism, and diplomacy
  • Proficient with Microsoft Office suite, Adobe Acrobat Pro, DocuSign and other signature management software
  • Good understanding of processes, policies and procedures required for supporting a non-profit and charity organization
  • Excellent project management, problem-solving, organizational, and time management skills
  • Ability to work in fast paced, start-up environment under tight deadlines
  • Ability to work independently as well as collaboratively in a dynamic team environment,
  • Ability to manage multiple, often competing priorities

Compensation

At Baycrest, we take pride in ensuring our compensation structure is internally equitable and compliant with pay equity legislation. We believe compensation should be transparent, equitable, and reflective of your experience and growth. Our salary ranges are structured to support progression, from learning the role to demonstrating full proficiency.

The salary range for this position is $66,021 to $82,526 per year.

Your placement within the target hiring range will depend on your job-related knowledge, skills, abilities, and relevant education and experience, as well as considerations such as market conditions and internal equity. The starting salary will be determined using these factors to ensure fairness and consistency across the organization.
