Law Clerk

Robert Half Canada is seeking an experienced Law Clerk for a busy corporate legal practice in Richmond Hill. This opportunity is well suited to a legal professional who is comfortable working in a fast-paced environment and managing a broad range of corporate files with accuracy, sound judgment, and attention to detail. The successful candidate will support transactions, maintain corporate records, and assist with ongoing regulatory compliance.

Responsibilities

• Coordinate and complete a range of corporate matters, including incorporations, organizational changes, continuances, dissolutions, and annual renewals.
• Prepare, submit, and monitor corporate and regulatory filings across provincial and federal jurisdictions, including registrations and securities-related filings.
• Conduct due diligence, corporate profile, and regulatory searches to support transactions, compliance reviews, and reporting requirements.
• Review corporate records and minute books, identify incomplete or missing documentation, and update records as needed.
• Manage recurring corporate maintenance activities to support compliance with statutory and governance requirements.
• Use electronic filing systems and legal technology tools to process filings, conduct searches, and maintain accurate records.
• Assist with private financing matters by preparing supporting documentation and completing required securities filings.
• Support share and asset transactions by preparing closing documents, coordinating process steps, and completing post-closing follow-up.
• Collaborate with lawyers and external advisors on reorganizations and other corporate matters involving legal and tax considerations.
• Maintain accurate data in corporate databases and practice management systems, including minute book and file management tools.

Qualifications

• 5+ years of experience in a corporate law clerk role, with the ability to manage files independently.
• Strong knowledge of federal and Ontario corporate law procedures, regulatory requirements, and related filing processes.
• Experience with corporate maintenance, transactional documentation, and due diligence activities.
• Strong organizational skills and a high level of accuracy and attention to detail.
• Effective written and verbal communication skills with a professional and client-service-oriented approach.
• Proficiency with Microsoft Office and legal software used for document management, research, and electronic filings.
• Experience with platforms such as Clio, MinuteBox, Adobe Acrobat, Cyberbahn, or similar legal technology tools is considered an asset.
• Ability to work primarily in an in-office setting, with some flexibility for hybrid arrangements based on experience and operational needs.
