JOB DESCRIPTION :
- Drafting, reviewing, and negotiating corporate letters / documents and construction contracts under CCDC standards, which includes agreements with third-parties, subcontractor agreements, purchase orders, and material supplier contracts while ensuring compliance with construction management principles
- Managing and providing comprehensive corporate support of / to subsidiaries (wholly owned and non-wholly owned), liaising where required with non-legal resources within subsidiaries involved in legal entity maintenance
- Administering pre-construction and construction documents such as change orders, and subtrade procurement documentation, specific to construction contracts
- Supporting legal counsel and construction managers by creating detailed reports and summaries related to contract execution, construction schedules, warranties, and risk mitigation
- Acting as a point of contact for construction managers and trades regarding legal and contractual questions, including addressing any contractual concerns specific to construction agreements
- Maintaining accurate documentation, organizing and updating legal documents and contracts efficiently using contract management software
- Producing memoranda to legal counsel on a variety of legal issues, as required
- Assisting legal counsel on all other legal duties / tasks, as required
QUALIFICATIONS :
- A law clerk or paralegal diploma or degree
- Minimum 3-5 years of experience in corporate commercial law, construction law or contract law, with specific exposure to construction contracts preferred
- Practical experience in drafting, negotiating, and managing legal documents and agreements, with a focus on corporate documents, construction contracts and lien rights under CCDC guidelines
- Robust drafting skills including legal letters, notices, and preparation of corporate documents such as resolutions, bylaws, articles of incorporation / amalgamation / dissolution
- Ability to manage complex contract structures including understanding contract performance, warranties, and cost management under a construction management agreement
- Proficiency in legal research and using contract management software or document management systems
- Excellent interpersonal, written, and verbal communication skills with the ability to clearly explain complex contractual terms to stakeholders
- Strong Organizational and prioritization abilities
- Proficiency of Microsoft Word, Excel and PowerPoint
