We are seeking a trustworthy Legal Counsel to join our team and provide legal advice and contractual support to the Vice-President Legal.

Your responsibilities may include :

  • Preparing, negotiating, drafting and reviewing various agreements with both commercial and governmental counterparties such as non-disclosure agreements, consultant agreements, licenses, sales agreements and procurement agreements.
  • Liaising with internal stakeholders to provide expert legal advice and guidance.
  • Reviewing requests for proposals and responding to terms and conditions.
  • Drafting, reviewing and updating company templates.
  • Ensuring adherence to company policies and procedures.
  • Providing general advice on matters of a commercial legal nature, including analysing applicable laws and regulations.
  • Supporting export permit applications and preparation of customs documentation.
  • Staying up-to date with legislative changes.
  • Contributing to process improvement and governance activities related to the functions of the department.
  • Such other responsibilities as may, from time to time, be assigned by the Vice-President Legal.

Our ideal candidate has :

  • A University degree in Law from a recognized post-secondary institution.
  • A minimum 10 years of experience as a legal professional within the aerospace, defense or high-technology industries, with experience in drafting and negotiating complex and high profile transactions with both commercial and government entities.
  • Knowledge of proper drafting, negotiation and use of contracts, subcontracts, purchase orders, teaming and other forms of agreements.
  • Knowledge of Canadian, US and European government procurement regulations and processes is an asset.
  • Excellent communication, interpersonal, organizational, negotiation, and problem-solving skills.
  • Strong analytical, problem-solving and organizational skills combined with a keen attention to details and thoroughness.
  • Sound judgement in proper evaluation of business risks for the corporation.
  • Ability to manage multiple priorities in a fast-paced work environment while maintaining deadlines.
  • Ability to work autonomously and in a team.
  • GHGSat has international customers and partners therefore fluency in French and English languages is essential, including ability to draft and negotiate in both languages.
  • GHGSat employees must be able to meet the requirements of the Canada Controlled Goods Program (CGP), and in certain cases, ITAR requirements.

  • Rédiger, réviser et mettre à jour les modèles de l'entreprise.
  • Veiller au respect des politiques et procédures de l'entreprise.
  • Fournir des conseils généraux sur des questions de nature juridique commerciale, y compris l'analyse des lois et des règlements applicables.
  • Soutenir les demandes de permis d'exportation et la préparation des documents douaniers.
  • Se tenir au courant des changements législatifs.
  • Contribuer à l'amélioration des processus et aux activités de gouvernance liées aux fonctions du département.
  • Assumer d'autres responsabilités qui peuvent, le cas échéant, être confiées par le Vice-président chargé des affaires juridiques.

Notre candidat idéal a :

  • Un diplôme universitaire en droit délivré par un établissement postsecondaire reconnu.
  • Un minimum de 10 ans d'expérience en tant que professionnel du droit dans les secteurs de l'aérospatiale, de la défense ou de la haute technologie, avec une expérience en rédaction et négociation de transactions complexes et de haut niveau avec des entités commerciales et gouvernementales.
  • Connaissance de la rédaction, de la négociation et de l'utilisation correctes des contrats, des contrats de sous-traitance, des bons de commande, des accords de partenariat et d'autres formes d'accords.
  • La connaissance de la réglementation et des procédures en matière de marchés publics au Canada, aux États-Unis et en Europe est un atout.
  • Excellentes compétences en matière de communication, de relations interpersonnelles, d'organisation, de négociation et de résolution de problèmes.
  • Solides compétences en matière d'analyse, de résolution de problèmes et d'organisation, associées à un grand souci du détail et de la rigueur.
  • Faire preuve de discernement dans l'évaluation des risques commerciaux pour l'entreprise.
  • Capacité à gérer des priorités multiples dans un environnement de travail rapide tout en respectant les délais.
  • Capacité à travailler de manière autonome et en équipe.
  • GHGSat ayant des clients et des partenaires internationaux, la maîtrise du français et de l'anglais est essentielle, de même que la capacité de rédiger et de négocier dans les deux langues.

Les employés de GHGSat doivent être en mesure de satisfaire aux exigences du Programme des marchandises contrôlées (PMC) du Canada et, dans certains cas, aux exigences de l'ITAR.
