RPI Executive Search has partnered with a leading global manufacturer in their search for Corporate Counsel based in Edmonton.

Reporting to the President, and as a member of the Senior Leadership Team, the successful Corporate Counsel will be accountable for providing strategic and legal direction to support our client’s commercial success.

This Corporate Counsel role is designed for a legal professional with a background in corporate law or a law firm looking to transition into a dynamic corporate setting with a focus on balancing a rewarding career and lifestyle.

As a generalist, the role offers a unique ability to influence business decisions, manage legal complexities, and help shape the future of our client’s reputation as a trusted partner to their customers.

Key Responsibilities

The following is a high-level description of the Corporate Counsel’s responsibilities and is not meant to be all-inclusive.

  • Provide expert legal advice on corporate governance, compliance, and contract law, including sales and distribution agreements, employment contracts, and other key agreements.
  • Have strong business acumen to strategize, distill, communicate and execute both legal and business principles to meet key objectives and business plans.
  • Draft, review, and negotiate contracts and legal documents.
  • Act as a strategic advisor to the leadership team, providing legal and business counsel to advance the company’s objectives.
  • Collaborate with cross-functional teams to integrate legal considerations into business decisions and corporate strategies.
  • Develop and enforce policies and procedures for contract management and administration in alignment with business goals and risk tolerance.
  • Stay updated on changes in laws and regulations affecting our client’s industry and communicate updates to key stakeholders.
  • Manage the corporate risk portfolio by identifying potential risks and developing mitigation strategies that support business objectives.
  • Oversee insurance coverage, ensuring comprehensive protection for the company's operations, employees, and assets.
  • Manage the intellectual property (IP) portfolio, collaborating with internal and external stakeholders to protect and maximize IP assets.
  • Work closely with Finance on corporate structure and shareholder matters.
  • Oversee litigation, manage external counsel, and strategize legal approaches for settlements.
  • Advise on corporate governance matters and assist in preparing board documents while facilitating communication between the board, shareholders, and management.
  • Oversee data privacy policy compliance with local and international regulations.
  • Other duties as required.

Candidate Experience

While no individual will embody every quality, the successful candidate will bring many of the following professional qualifications and personal competencies :

Professional Qualifications

  • Minimum of 5 years of experience in a reputable law firm, with expertise in corporate law, contract law, and risk management.
  • LL.B, J.D., or equivalent law degree with current membership in good standing with a provincial or territorial Bar in Canada.
  • Familiarity with legal and regulatory aspects of the healthcare industry.
  • Proven experience handling regulatory compliance and corporate governance issues.
  • Strong analytical and strategic thinking skills, with the ability to balance legal and business risks.
  • Intermediate computer proficiency in a Windows based environment, using Word, Excel and Outlook.
