Job description

ABOUT VALSOFT CORP.:

Established in Canada in 2015, Valsoft has grown to a global portfolio of 118+ companies, acquiring and developing vertical market software companies, enabling each business to deliver the best mission-critical solutions for customers in their respective industries. A key tenet of Valsoft’s philosophy is to invest in well-established businesses and foster an entrepreneurial environment that molds companies into leaders in their respective industries. Valsoft looks to buy, hold and create value through long-term partnerships with existing management.

INVESTMENT APPROACH:

Unlike private equity and venture capital firms, we are Entrepreneurs who Buy, Enhance and Grow Software Businesses. That’s right; we don’t sell businesses. We form a strategic alliance with existing management teams. We recognize the dedication and perseverance required to create a firm and place a premium on customers’ and workers’ well-being over short-term goals.

CULTURE:

Valsoft is more than just a place to work; we’re a team. We mean it when we say people are our greatest assets, so investing in them is our number one priority. We create an environment where our employees feel first-day-on-the-job excitement, day after day, creating a culture of high performers and collaboration. We celebrate our milestones, and we’re proud of them. We Dream Big, Stay Humble and Stay Hungry.

You will draft, negotiate, and manage complex commercial agreements, including software licensing, SaaS, vendor, and partnership agreements. The ideal candidate is a pragmatic problem-solver who can distill complex legal concepts into practical, actionable business advice and thrive in a fast-paced, entrepreneurial environment.

REQUIRED/MINIMUM QUALIFICATIONS:

  • Juris Doctor (J.D.) or Bachelor of Laws (LL.B./LL.L.) from an accredited law school
  • Active admission to practice law in good standing
  • 4-7 years of legal practice experience
  • A combination of law firm and in-house legal experience preferred

Core Competencies

  • Proven business acumen and ability to provide practical, commercially oriented legal advice
  • Experience managing multiple priorities and stakeholders in a fast-paced environment
  • Excellent communication skills with ability to distill complex legal concepts for
    business audiences
  • Ability to navigate multi-jurisdictional legal issues and coordinate with international stakeholders

Technical Knowledge

  • Software licensing agreements and SaaS business models
  • Commercial contracts (vendor agreements, partnership arrangements, customer
    agreements)
  • Corporate governance and compliance frameworks
  • Employment law and HR-related legal matters
  • Intellectual property management and protection
  • M&A transaction documentation and processes

Additional Qualifications

  • Self-starter with ability to work independently while collaborating effectively across

  • Strong organizational skills and attention to detail
  • Comfortable operating in an entrepreneurial, high-growth environment
  • Legally authorized to work in Canada.

Why Choose Us

  • Unlimited vacation after 1 year of employment
  • Annual Wellness Benefit

  • Opportunities for growth and career development
  • Be a part of an entrepreneurial culture, where your innovative ideas and fresh perspectives are valued and can make a real impact on our business
