Job Summary

We arecurrently seeking a Business Development Analyst to join the Merger& Acquisition Department at This Company. The Merger &Acquisition Department is responsible for executing M&Atransactions originated by different business lines of the companyand approved by This Companys corporate management.

As a Business Development Analyst your primary role willbe to support the screening planning analyzing developing newbusiness ventures and executing mergers and acquisitions (M&A)joint ventures and divestments at This Company.

You will evaluatetransaction proposals and actively manage the execution of suchprojects including involvement in valuation due diligencenegotiations and structuring of transactions leading to final dealsigning and closing.

Responsibilities :

  • Conduct detailed due diligence on differentaspects of target companies with support from relevantorganizations within the company.
  • Performvaluation of target companies based on different methods withsupport from other organizations within the company and evaluatethe business plan of the targets.
  • Independently handle business proposals draft theNonBinding Offer (NBO) develop a negotiation strategy andcommercial terms for the transaction and reflect such in the termsheet.

Negotiate and develop definitive agreements with the help ofthe law department and other relevant organizations within thecompany.

  • Validate activities to progressproposals through stage gates prioritize business proposals againstinvestment criteria and NBD portfolio strategy.
  • Manage all aspects of transaction execution includingmanagement of the overall project such as selecting onboarding andworking with advisors.
  • Manage overallstakeholder management including working with internalorganizations consultants and potential partners.
  • Assemble initial offerings to potential investors leadinvestor selection activities and coordinate with This Companysubject matter experts to draft Memorandums of Understanding / Letterof Intent.
  • Provide administrative direction inthe development and review of legal documents including head ofterms MoU costsharing agreements and shareholder agreements andmanage business portfolio.
  • Ensure compliancewith process stage gates and approvals approve contract paymentsand variations within limits provide administrative direction andpersonnel management to all assigned Business Development Analystsand perform other miscellaneous duties as directed.
  • Support the law department in antitrust clearanceactivities and internal proponent organizations in postacquisitionintegration activities.
  • Perform othermiscellaneous duties as directed.

Requirements :

This role required candidate topermanently relocate at Dhahran SaudiArabia.

Education : Preferably holds aBachelors degree in Accounting Economics Business or Finance from arecognized international program.

An MBA or equivalentqualification is a plus but not required.

Experience : Ideally has 1015 years of experience in business developmentincluding at least five years of experience in M&A transactionexecution.

Candidates from IOCs / NOCs corporates; internationalconsulting firms accounting firms investment banks; and privateequity firms are preferred.

Skills andExpertise :

  • StrongM&A background with extensive experience in financial valuationmodeling due diligence commercial negotiations and transactionstructuring.
  • Adequate understanding offinancial analysis valuation methodologies and commercialprinciples of transactions.
  • Industry expertiseor knowledge in specific venturing activities such ascommercialization spinoffs or joint venturing project developmentfinancial valuations and modeling facilities planning strategydevelopment or relevant experience.
  • Goodinterpersonal communication skills.
  • Workingknowledge of a variety of MS Office tools.
  • Timemanagement skills ability to meet deadlines and workunder stress.
  • Proven analytical andproblemsolving skills.
  • Attention to detailwith a high degree of control and emphasis on quality.
  • Strong team player demonstrating initiative dynamism andcreativity.
  • Fluency in English (and otherlanguages if possible).
  • Solid understanding ofcommercial business models in various sectors e.g. oil &gas.
  • Experience with risks reporting and risksdashboard.
  • Understanding of portfoliomanagement principles.
  • Solid understanding ofaccounting fundamentals.
  • Chartered FinancialAnalyst (CFA) Certified Management Accountant (CMA) or ProjectManagement Professional (PMP) certification areadvantageous.
