Reporting directly to the President and COO, the VP Legal Affairs and Risk Management is a key member of the Executive Leadership Team and will have responsibilities for both PHL and our operating company, Cowan Insurance Group ("CIG")

What you will do :

  • Investment Activities
  • Assistance with Fund manager due diligence, document review, compliance etc.
  • Oversight of Bank and Custodian relationships.
  • Legal matters re owned and leased Property,
  • Executive owner of Information Security,
  • Maintaining and Managing the Group P&C Insurance Coverage matters
  • Policy Renewal
  • Claims
  • General Legal matters (regulatory and legislative policy monitoring)
  • Trademarks
  • Overall Corporate Policies (Investments, HR, IT etc.)
  • Due diligence and M&A activities, whether in the operating company or through a direct investment
  • Business Continuity Management
  • Privacy Officer
  • Compliance Officer
  • Management of the Whistle blower Channel
  • Annual Business Risk Assessment Process and ongoing reporting
  • Licensing process
  • E & O Reporting and Management
  • Best practice on Data security, including SOC II and Privacy, and adherence to changing legal requirements
  • Contract negotiation, review and ongoing compliance
  • Work with HR on policies procedures, Health and safety and employee relations issues
  • Deployment of new regulatory and legislative matters

What you will bring :

  • You're a certified professional. The successful candidate must have been called to the Bar in Ontario.
  • Minimum of 5 years of relevant legal work experience (law firm or in-house)
  • Proven analytical and problem-solving skills with experience simplifying and resolving complex problems
  • Highly focused with attention to detail and ability to collaborate well with others.
  • Excellent verbal and written communication skills with a practical solution-oriented approach
  • Demonstrated superior skill in legal drafting, including agreements and contracts.
  • Superior organizational and time management skills with experience handling multiple priorities and requests.
