The Chief Officer of Operations, (COO) serves as the chief executive officer of Canadian Adventure Charters Ltd and is responsible for the success of the Corporation.

Reporting directly to the Board of Directors, the COO is responsible for creating and implementing a clear sense of direction for the Corporation and its related businesses by defining, communicating, and overseeing the Corporation’s mission, goals, operating principles, and strategic actions.

To design and develop CAC and CCC World-class State of the Art Green / Blue Mega Port and Oceanographic Research Laboratory.

To develop CAC super luxury explore yacht hub and charter platform.

To work and collaborate closely with our team / teams of experts and specialists for the design, construction, management and operations of CAC aquarium- exhibit-maritime museum and theme restaurant

To work and collaborate closely with our team / teams of experts and specialists for the design, construction, management and operations of CAC main port facilities for super luxury yachts and the mid-size cruise ship industry, CAC private pier, dry dock / floating dry dock facilities, 200 berth marina, 60 luxury boathouses for super yachts

To work and collaborate closely with our teams to create and build our brand / product, website and global partnering networks

To promote Bonvista Bay, Newfoundland & Labrador ( Iceberg Alley) as the International Cross Road Intersection of the Seven Sea’s and Ocean Gateway into The Northwest Passage and Arctic regions and develop charter destinations within CAC selected charter operations route / loop in to Newfoundland, to Labrador, Northwest Passage, Spain, Canary Islands, Bahamas, Caribbean, Mediterranean and Antarctica.

To oversee and manage CAC fleet of Ice-classed Explorer Vessels, Submersibles and Dive Operations for all Expeditions, Exploration, Treasure & Shipwreck Recovery, Underwater Film / Documentary Entertainment- Climate Change / Global Warming / Marine Research,

JOB DUTIES, RESPONSIBILITIES AND REQUIRMENTS

This position is the most senior management position in the Corporation, with responsibility for :

The COO holds a successful portfolio building and managing Marine Industry public trading corporations, private and non-profit for a minimum of 15 years, working with Investor Relations (IR) Stakeholders, including networking and building partner relations with 100 and 500 Fortune Companies.

Managing $100M-$1B annual portfolio’s

Requirements to Apply For the Position :

The COO (Must) hold an Unlimited Maters Mariner Certificate, Certified for Polar Operations, including a Degree in Administration or a related field, Director of Maritime Affairs and / or Degree in Maritime Law, including Extensive Salvage Master and Tow Master commercial diving operations, experience with submersibles and ROV,s is Required upon applying for this positions .

The COO holds a minimum of 15 years in the private super luxury yachting and submersible industry managing a fleet of vessels, carrying private mini-submersibles onboard, with toys, chase boats / support vessels in the Antarctica and Artic regions, include Med Atlantic regions.

The COO holds clear understanding, with a proven track record for safety, training, inspections and management of operations for vessels crew changing and provisioning at sea and in remote locations in the Northwest Passage, Arctic and Antarctic regions

The COO has extensive experience working with CEO,s and Directors of Operations securing and managed super luxury yacht and submersible charter contracts with private clients and charter management companies, brokers, agents, including scientific oceanographic research institutions and universities of 200M-500M annually operations.

Required upon applying for this positions

The COO has extensive knowledge and experience in marine design, port / prier engineering and construction is a must and will be required for this position, working with teams of experts- specialists and contractors

Experience and understanding working closely catering to the super rich and ultra- wealthy guest / clients and meeting they’re needs and demands

Other Requirements are as follows :

Insures, all required vessel and equipment inspections are carried out and up to date. Insures all crew and management training is up to date.

Insures all licenses, permits, marina fees and private yacht club fees are paid and up to date. Insures all insurance policies and liability form are signed and up to date.

The COO will be responsible for managing all yacht fueling, provisioning, maintenance, retrofitting and will work closely with onboard captains, pilots, engineering, chef stews and other operations and administration teams daily

The COO has clear understand and experience coordinating and managing operations with connected floatplane, helicopter and hovercraft operations and as standby support for other vessels and their operations

The COO will be required to coordinated and manage security operations for all treasures, artifacts and high-value cargo recovered from shipwrecks, to be transported to CAC,s headquarters

The overall management of the business including its overall strategic direction, preparation of agendas and background information for Board meetings and its various Committee meetings.

This position requires having extensive knowledge and experience working with international governments, yacht brokers and ship builders, including all levels authorities for registering and flagging vessels in Panama and Bermuda, USA and Canada.

Keeps the Board fully informed of the conditions of the Corporation and on all crucial factors influencing it.

The development of annual works plans and related capital and operating budgets, development of operational policies and procedures.

The day-to-day operations management, human resources recruitment, budget and financial oversight and monitoring.

Conducts market analysis and opportunity identification in relation to the mission of the Corporation.

Overall management of staff and management of the Corporation.

Overall planning, design and implementation of projects and programs within the mandate for the Corporation.

Communications and marketing for the purpose of business development; and

Actively participate in the compliance of the Corporation’s corporate governance policies and procedures.

Governance, Strategy, Development, Planning and Reporting

Structuring CAC to a publicly trading corporation, while working with our partners

Formulates and updates the annual business plan and strategies, policies and procedures for the corporation and brings these to the board for input, consideration, decision, and ratification.

Ensures strategic and annual planning processes and procedures are undertaken and effective budget and plans are prepared for Board approval.

Seeks out and develops business opportunities and presents such opportunities to the board for consideration and decision.

Oversees fiscal activities, ensuring that all financial and non-financial reporting requirements are met on a timely and accurate basis, and

Ensures that reports to the Board are always transparent and provided on a timely basis.

Ensures adherence to the legal guidelines and in -house policies to maintain legality and business ethics.

Community & Relationship Management

Initiates, develops, and maintains effective strategic relationships and networks with key stakeholders including luxury charter companies / brokers / agents, government agencies, business owners, travel agents, customers, potential customers, partners and suppliers and research institutes

Examines and recommends partnerships with private and public entities in support of projects that will assist the Corporation in fulfilling its mission and objectives; and

Promotes and advocates the profile of the Corporation.

Support community events including Future Emergency Preparedness Planning / Management

Builds and maintains a high-performance culture through effective performance management, communication and coaching of staff,

Recruits appropriately skilled staff to all positions and establishes appropriate remuneration levels and performance-based conditions for each employee.

Establishes performance management plans with charter companies / brokers / agents, industry clients, employees and undertakes performance reviews, recommends salary and benefit changes, promotions, and dismissals as appropriate within the authority of the position; and

Recruits and appoints with the approval of the Board, where necessary.

Communication :

Fluent speaking language, creative writing and business management skills in English and 3 of the following : French, German, Polish, Spanish, Mandarin, Norwegian, Arabic and Russian are very important for translation to international charter clients and guest, our charter travel adventure product, branding, business development, networking building relations with investors and stakeholders

Prepares and presents an annual operating and capital budget to the CFO, President / CEO and the Board for approval complete with all supporting background information and documentation; and

Establishes financial controls in relation to undertaking and monitoring the activities of the Corporation against the approved budget and provides monthly (or more frequently, as necessary) reports to the Board on the performance of the Corporation against the approved budget.

JOB KNOWLEDGE

The work requires the following education, knowledge, skills, and abilities :

Education

Unlimited Masters Mariners Certificate University Degree in A Degree in Law, Business Administration, degree in Engineering, or Finance.

Experience An Expert and Specialists :

Significant and proven leadership skills developed through at least 15 years in a senior management role and experience related to activity in marine operations, marine resource development, private super luxury yachting operations, mini- submarine operations, treasure & shipwreck recovery- luxury yachting industry- offshore adventures, expeditions, exploration, remote on land adventure, expeditions, exploration, including deep sea submarine operations, film entertainment industry- working with Doctors / Scientist-Climate Change-Global Warming Research experts and specialist, commercial charter management operators.

Ability to build effective relationships with external stakeholders and collaboration, inspire and motivate high performance, and effectively resolve conflict; and

Possess excellent communication and presentation skills.

500-100 Fortune background successfully networking with other private and public trading CEO’s, COO’s, Presidents, VP, board of directors, investors, shareholders, stakeholders and businesses industry leaders.

WORKING CONDITIONS

Physical Demands

The COO will have to spend long hours sitting and using office equipment and computers. There may be some light lifting of supplies and materials from time to time.

The COO may be required to travel and may need to work extended or flexible hours as required. MUST NOT GET SEA SICK OR AIR SICK

Environmental Conditions

The COO may have to manage a number of projects at one time, and may be interrupted frequently to meet the demands of competing priorities.

Sensory Demands

Sensory demands include use of the computer, which may cause eyestrain and occasional headaches. The COO may find the environment to be busy, high seas, cold and hot climate temperatures, areas with polar bears and wild animals, flies mosquitoes, jelly fish, noisy and will need excellent organizational and time and stress management skills to complete the required tasks.

Mental Demands

The COO manages a variety of tasks and deadlines and may find the demands to be stressful.

Travel : The COO will be required to travel when needed onboard of CAC,s luxury exploration yacht, on tenders, floatplanes, helicopters, and underwater submersible dives
