Position Summary :

McMaster, McIntyre & Smyth LLP is seeking a dependable and experienced Corporate Clerk to join our team. The Corporate Clerk will be responsible for preparing, coordinating, revising, and organizing legal and administrative documents, with a focus on corporate law.

Ideally the candidate would also have experience with will drafting and estate administration.

Responsibilities :

  • Prepare and file articles and documentation relating to incorporations, organizations, amendments, amalgamations, and dissolutions.
  • Produce and file routine minute book documentation, including annual meeting materials, changes in directors / officers / registered office, dividends, and share provisions.
  • Draft and file business name, partnership, and limited partnership registrations.
  • Prepare and submit annual returns.
  • Review, analyze, and summarize minute books and corporate records; recommend corrective actions and draft necessary documentation to address deficiencies.
  • Conduct preliminary name availability searches, obtain NUANS reports, document lists, and corporate profile reports.
  • Secure Certificates of Status / Compliance.
  • Prepare and generate bills and pre-bills using PC Law.
  • Manage will and estate files, including drafting wills and power of attorney and filing for certificates of estate trustees.
  • Demonstrate initiative and the ability to work independently.
  • Maintain organized and comprehensive file management.
  • Handle additional tasks and responsibilities as assigned.

Requirements :

  • 2-5 years experience as a Corporate Law Clerk.
  • Successful completion of a post-secondary Law Clerk program.
  • Knowledge of CBCA and OBCA
  • Familiarity with the Ontario Business Registry and Corporations Canada
  • Proficiency in Microsoft 365, Fast Company, OnCorp, PC Law, DocuSign, and Adobe Acrobat.
  • Strong verbal and written communication skills.
  • Excellent problem-solving skills and good judgment.
  • Strong interpersonal skills and ability to work collaboratively.
  • Highly organized and resourceful.
  • Willingness to accept additional responsibilities as required.
