the opportunity:Reporting to the Director, Governance, the role provides governance and procedural advice, manages official Board and committee governance processes, maintains official governance records, supervises governance support staff, and leads and coordinates compliance tracking for legislative, regulatory, policy and Crown agency requirements.The role helps ensure CLBC's governance structures, tools and practices enable effective oversight, organizational accountability, public trust and continuous improvement.Key responsibilities:Leads the development, implementation and continuous improvement of CLBC's governance systems, processes and tools to support effective oversight, decision-making, accountability and complianceManages and coordinates formal corporate governance processes, including Board, committees, Senior Management Table and Directors Table supportLeads the planning, coordination and administration of Board and committee meetings, including annual calendars, agendas and work plansEstablishes governance standards and oversees the preparation, review and quality assurance of agendas, briefing materials, minutes, resolutions and decision records so materials are clear, complete, decision-focused and aligned with governance requirementsLeads the organization's governance compliance framework by overseeing compliance with legislation, regulations, directives, governance policies, statutory filings and Crown agency requirements affecting Board and corporate governanceOversees and monitors statutory filings, Board approvals, appointment terms, reappointments, disclosures, conflicts of interest and related governance obligations to ensure organizational compliance and mitigate governance riskProvides expert governance and procedural advice on governance processes, meeting practices, procedural matters and appropriate Board-management rolesLeads and coordinates Board effectiveness initiatives including Board orientation, onboarding, education, evaluation, skills matrix, succession planning and other Board effectiveness processesActs as the key liaison between the Board, Board Chair, committee chairs, executive leadership and the Director, Governance on governance mattersDevelops and maintains effective working relationships with executive leadership and internal partners to ensure Board and governance materials are strategically aligned, decision-focused and responsive to organizational prioritiesSupervises, recruits, trains, coaches, and manages the performance of direct reportsRegularly engages direct reports in 1-on-1s with clear objectives and intended outcomes and provides effective feedbackWhat you will bring:Diploma or bachelor's degree in public administration, business administration, governance, or related fieldMinimum of 5 years' direct experience in supporting governance, Board, committee, Crown corporation, public-sector agency or executive decision-making processes, including experience in a leadership or people management capacityDirect experience interpreting legislation, policy, bylaws, terms of reference, governance frameworks or statutory requirementsDirect experience preparing agendas, minutes, resolutions, briefing materials, decision records, governance tools or proceduresExperience in a public sector organization is an assetWe are also looking for:Knowledge of Crown corporation, public-sector or not-for-profit governance, including Board and committee structures, fiduciary duties, decision-making and accountabilityKnowledge of governance records, statutory requirements, conflicts of interest, privacy, confidentiality and records management principlesAbility to provide clear procedural and governance advice with sound judgment, discretion and political acuityAbility to synthesize complex information into clear, concise and plain-language materialsStrong written and verbal communication
