We are looking for a Manager, Corporate Development – Mergers & Acquisitions. This professional will be a key finance partner on acquisitions with significant visibility and interaction with Senior Level Management.
The ideal candidate enjoys diving deep into complex problems, works effectively with cross-functional teams, and thrives in a fast-paced and dynamic environment. The selected candidate will be part of a small, collaborative team that values individuals who think creatively and proactively look for growth opportunities.
This position is hybrid, requiring three days per week in the office.
Responsibilities :
- Develop and maintain a pipeline of software companies within our target markets that may be open to a sale now or in the future.
- Initiate and build relationships with software business owners and leaders, engaging in strategic discussions that can lead to potential acquisition opportunities.
- Manage M&A transactions including financial modeling, due diligence, purchase accounting, valuation, project management of the integration of acquisitions, as well as post-acquisition monitoring and follow-up on acquisition-related deliverables.
- Assess deal models and perform or review financial due diligence on potential acquisition targets.
- Evaluate synergistic opportunities and risks in potential transactions.
- Advise on financial risks and develop strategies and methods for risk mitigation during deal structuring and target negotiations.
- Develop project plans for due diligence through to integration and manage all downstream implications to completion.
- Monitor acquisition goals and communicate performance updates to the Senior Management.
- Develop and maintain Excel workbooks and financial models to facilitate the evaluation of opportunities.
Requirements :
CPA / CA designations, CFA and / or MBA are also considered assetsAudit experience requiredConfident, professional disposition to interact with C-suite executiveAdvanced knowledge of US GAAP, IFRS, and rules and regulations5+ years’ experience preferably within the software technology sector5+ years of corporate development / buy-side acquisition experienceStrong quantitative and analytical skills and proficiency in financial modeling, valuation, and business case buildingAdvanced Excel skillsStrong work ethic, with an effective combination of business acumen, sound decision-making, and a bias for action; ability to act in a decisive, urgent, and committed way to achieve results; remain focused on deliverables and leverage resources to reach goalsAbility to travel internationally (10%) and work long hours as circumstances demandAbility to participate in sensitive projects with absolute confidentialityWhat We Offer :
