Department Overview: TD Legal is dedicated to providing industry-leading advice and counsel to all TD business segments and corporate functions. In this Counsel, Financial Crime and Enterprise Investigations role, you will join a dynamic and collegial team of professionals at TD Legal, providing advice and supporting a wide range of internal investigations. This role will involve advising on the investigation into matters that pose potentially significant economic, litigation/legal and/or goodwill risk to the bank as well as providing substantive legal advice on a variety of topics. It is an opportunity to collaborate with other members of TD Legal, multi-disciplinary investigative units across the enterprise, including colleagues in risk management, fraud prevention, compliance, human resources, internal audit, security and the lines of business, to help the enterprise identify and manage risk. Collaborating with talented colleagues and partners in a variety of legal specializations, members of the Financial Crime and Enterprise Investigation legal team have the chance to develop their skills every day. The Counsel, Financial Crime and Enterprise Investigations role is a member of TD Legal and reports into Senior Counsel on the team. The role is expected to anticipate legal, regulatory, economic and reputational risk, and provide strategic and practical legal advice to incident management teams, investigation units, control partners and other business stakeholders on a wide range of incidents and investigations. Supporting internal investigations, including planning, performing interviews and evidentiary reviews, engagement of forensic specialists as well as retaining internal investigative partners, drafting status updates, internal-facing communications and reports, and designing remediation frameworks, with an opportunity to lead internal investigations over time. Advising enterprise, lines of business, risk, fraud, financial crime, incident management teams, employee relations, internal audit and others on areas of law relevant to investigations, including legal, settlement and other privileges, document production issues, complaint management, law enforcement engagement, regulatory reporting, investigation techniques and best practices, and remediation (financial and non-financial). Identifying, communicating and escalating risk and mitigation strategies to relevant stakeholders including other members of TD Legal. Leading the intake, classification and triage function for the Enterprise Investigations team including risk assessment, routing, tracking and reporting of matters to support effective case management. Retaining and overseeing external counsel and other third-party vendors as required. Monitoring and advising on developments in investigation, evidentiary and financial crime law, expectations and best practices, including keeping current on case law. Supporting high priority special initiatives, special projects and the team's knowledge management efforts. Other duties, as assigned. Job Requirements

Law degree from an accredited law school and qualified to practice law in Canada. 5+ years of relevant experience as a lawyer working in a regulatory enforcement/investigations and/or prosecution role within government, at a major law firm or in‑house at a large company. Litigation, e‑discovery and investigation/prosecution experience required with a preference in one or all of market conduct, criminal or significant employee conduct investigation. Experience in the banking and financial services sector, an asset. Strong teamwork, highly collaborative with a partnership‑oriented approach, excelling at fostering strong working relationships and a proven ability to work effectively in cross‑functional teams. Ability to simplify, problem‑solve, multitask, work effectively against competing deadlines, and thrive in a fast‑paced, dynamic and high‑pressure environment. Combines strategic thinking with a practical, hands‑on mindset and a commitment to delivering excellent results with a high level of internal accountability. Self‑motivated and action‑oriented, who approaches work with enthusiasm, resilience and a strong desire to contribute beyond defined responsibilities. Advanced communication (written and verbal), negotiation, conflict resolution, legal research and analytical skills. Operates with curiosity, creativity and innovation; seeks different perspectives and new ideas.
