Legal Counsel - Commercial

Responsibilities

• Sales Agreements: Own the full lifecycle—NDAs, drafting, redlining, negotiating and closing at pace; develop relationships with Compliance, Security, Channel Partnerships, and other stakeholders to move deals forward.
• Public Sector Contracting: Support SLED (State, Local, Education) and municipal customers, navigating government procurement frameworks and public sector–specific terms.
• Referral & Partnership Agreements: Work with business development to structure and close referral and revenue partnership agreements efficiently.
• Technology & IP: Advise on IP, licensing, trademarks and technology law, staying ahead of changes—especially at the intersection of AI and legal.
• Privacy: Assist the privacy compliance program—policies, data‑breach response, DPIAs and regulatory guidance, collaborating with EMEA and UK colleagues across jurisdictions.
• Legal Ops: Contribute to process improvement, shape use of AI and tools, and actively build a smarter, faster legal function.

Qualifications

• Called to the bar in a Canadian province or territory, in good standing.
• 3–5 years as a commercial or technology lawyer, with depth in SaaS agreements, NDAs, privacy law and partnerships.
• Enjoys the deal side of legal work—negotiates and treats contracts as business opportunities rather than risk elimination.
• Comfortable with rapid pace and variable scope; stays organized under pressure, uses good judgement and escalates when appropriate.
• Deeply curious about AI and legal tech, and already uses these tools or is eager to.
• Strong communicator who can translate legal risk clearly for non‑lawyers of all levels.
• Team player; values cohesion and a positive attitude.

Bonus Points

• Experience with public sector or SLED transactions and government procurement processes.

The expected salary range* for this role is $131,800 to $155,000 to $178,200 CAD. Salary bands vary by region and experience.
