Responsibilities :
Provide legal counsel and support to clients on the formation and structuring of investment funds, including drafting offering documents, fund agreements, and regulatory filings.
Advise clients on compliance with securities laws and regulations governing investment funds, including securities registration, prospectus requirements, and ongoing reporting obligations.
Assist clients with fund transactions and regulatory matters, including fund mergers, acquisitions, and regulatory inquiries.
Qualifications :
Active membership in good standing with the Law Society of Ontario.
Minimum of 4+ years of experience practicing law, with a focus on investment funds, preferably in a law firm or corporate legal department setting.
Strong knowledge of Canadian securities laws and regulations applicable to investment funds, including the Investment Funds and Managers Regulation and National Instrument 81-102.
Preferred Qualifications (not required but considered advantageous) :
Experience advising clients on cross-border fund structuring and regulatory matters.
Familiarity with alternative investment vehicles, such as hedge funds, private equity funds, and exchange-traded funds (ETFs).
Excellent analytical, communication, and interpersonal skills, with the ability to effectively collaborate with clients and internal teams.
