On our client’s behalf, we’re pleased to share that an opportunity has arisen for an experienced Corporate Paralegal to join their team. This position is a full-time, hybrid role offering competitive compensation, flexibility, and opportunities to work on a broad range of corporate and transactional matters.
Responsibilities
Corporate Records Work
- Maintaining physical and digital corporate records books and client files (BC, federal, and extra provincial registrations)
- Preparing forms and documents from precedents and templates
- Assisting with digitization of company records into virtual minute books
- Maintaining / updating the ALF Corporate Records Database
- Coordinating outgoing document packages and records books by courier
- Communicating directly with clients as required
Transactional & M&A Work
Handling formation and governance matters for corporations and partnerships (including not-for-profits)Preparing documentation for commercial transactions such as ownership changes, M&A, joint ventures, amalgamations, reorganizations, and dissolutionsConducting due diligence reviews of corporate records and preparing rectification resolutionsPerforming BC Online and public record searches and preparing due diligence summariesCoordinating execution of documents via DocuSign, handling closings, and preparing digital closing books (including use of Closing Folders)Supporting lawyers on large-scale projects and transactionsOther Support
Providing coverage for other paralegals when neededFormatting correspondence, agreements, reports, forms, and spreadsheetsRequirements
Minimum of 5 years of experience as a Corporate Paralegal in a law firm environmentCompletion of an accredited Paralegal programAbility to manage files from start to finish with minimal supervisionStrong technical skills with legal applications including ALF, Microsoft Office Suite, Adobe, Workshare Compare, BC Online, DocuSign, MyLTSA (experience with PC Law or iManage considered an asset)Exceptional organizational skills, attention to detail, and ability to manage competing deadlinesStrong interpersonal and communication skills, with a collaborative “team player” mindsetClient-focused approach with professionalism, tact, and good judgmentCompensation & Benefits
