This position supports the growth of business units and oversees legal and compliance matters for Saint-Gobain and its subsidiaries in Canada. Responsibilities include, but are not limited to, negotiating and drafting strategic contracts, and advising senior management on various initiatives.

Duties and Responsibilities :

Institutional / Commercial :

  • Provide day-to-day legal advice to business unit employees on corporate, business law, and commercial litigation matters.
  • Work on acquisitions, divestitures, joint ventures, and other strategic investments.
  • Offer general corporate and commercial law advice and recommend actions to business colleagues.
  • Select and manage external counsel.
  • Draft, review, and negotiate contracts.
  • Handle real estate matters.
  • Identify and mitigate legal risks facing the businesses.
  • Provide antitrust advice.

Compliance :

  • Ensure Saint-Gobain Canada's operations and business transactions comply with all relevant legal and internal rules.
  • Advise on compliance matters and identify areas of vulnerability and risk.
  • Develop and implement corrective action plans for resolution of issues.
  • Conduct internal investigations.
  • Provide proactive legal advice on ethics and compliance daily.
  • Develop and deliver training to educate employees on various ethics and compliance topics.
  • Magnitude :

  • Handle high-visibility mergers & acquisitions, potentially involving several hundred million dollars or more.
  • Address disputed matters with potential liabilities and defense costs in the millions.
  • Manage highly confidential matters and provide timely advice on commercial agreements and compliance issues.
  • Problem Solving :

  • Exhibit excellent legal judgment and effective negotiation skills.
  • Be practical, resourceful, and capable of assessing risk.
  • Communicate advice clearly to non-lawyers, both orally and in writing.
  • Learn and understand the business to create practical solutions.
  • Be a collaborative team player, flexible, agile, curious, and thrive in a fast-paced, highly matrixed environment.

    Knowledge :

  • B.A. or B.Sc. degree and an LL.B. or J.D. from a recognized law school.
  • Called to the Bar in Ontario and / or Quebec and in good standing to practice law in Canada.
  • Minimum of 5 years of business law experience in a law firm and / or corporate legal department.
  • Fluency in English and French for both oral and written communications given that it will support Quebec province as well.
  • Deep knowledge and understanding of general corporate and commercial law.
  • Preferred experience in compliance, antitrust, and mergers & acquisitions.
  • Additional Information :

  • Periodic travel is required, often on short notice.
