Reporting directly to the Chief Legal Officer and Corporate Secretary, the Legal Counsel, Privacy and Banking, will provide legal expertise and support Haventree Bank (the Bank ), its affiliates, and its parent, Haventree Holdings Inc.
You will be a key member of a small but dynamic in-house legal, compliance, and AML team, helping to build and grow our existing business and participate in our digital transformation.
In this role, you will deliver broad-based legal advice to the business on various issues and projects, including corporate law, deposits and lending matters.
Legal Counsel is also responsible for the Bank’s Privacy Program, ensuring adherence to Haventree Bank’s policies and procedures and compliance with regulations.
Major Duties & Responsibilities :
In support of the Bank’s legal needs, the Legal Counsel will :
- Support the Chief Legal Officer in dealing with business-critical issues relating to corporate, commercial, banking and lending matters.
- Assist with drafting, review, and negotiation of a wide variety of client and vendor contracts.
- Independently address day-to-day commercial work, providing hands-on legal support to the different areas of the business.
- Provide litigation and claims / complaints management support, as needed.
- Work in collaboration with cross-functional teams to manage and mitigate risk.
- Develop and implement procedures for legal contract review.
As Privacy Program manager, the Legal Counsel will :
- Lead and execute the Bank’s privacy program and components.
- Assess the privacy laws and their enforcement in which the Bank operates.
- Investigate privacy incidents.
- Conduct Privacy Impact Assessments (PIAs) for internal initiatives.
- Prepare monthly and quarterly reports to Senior Management.
- Prepare and deliver periodic privacy training to employees and the Board of Directors.
Qualifications & Experience :
Degrees, Diplomas & Certifications :
Call to a provincial Canadian bar with a current law license in good standing.
Years and Range of Experience Required to Perform the Job :
- 2 to 5 years post-qualifying in-house and / or law firm experience, preferably in a banking, fintech or lending environment.
- Experience working in and advising on privacy matters.
- Ability to work autonomously with strong drafting and negotiation skills.
- Excellent oral and written communication skills.
- Ability to work collaboratively with peers and stakeholders.
- Strong problem-solving skills, with ability to provide pragmatic, commercially-focused advice.
- Ability to spot, troubleshoot and summarize legal issues and ability to effectively convey recommendations to stakeholders.
- Comprehensive knowledge of applicable legislation and solid understanding of information protection and confidentiality within a Schedule 1 Bank.
- Knowledge of Canadian federal and provincial privacy laws.
- Bilingualism (French and English) considered an asset.
