The Manager, Legal Counsel (Procurement) is a business-minded lawyer primarily responsible for ensuring the legal adequacy of procurement contracts, reporting to the Senior Director & General Counsel. Additionally, the incumbent will report to the VP, Finance & CFO, ensuring the business adequacy of procurement selection. The incumbent is based out of the Mississauga, ON head office.
Primary Job Responsibilities :
Primarily, reporting to the Senior Director & General Counsel (expected 60% or so of time, subject to change) :
- Develops, maintains, and enforces legal policies & procedures related to procurement contracts, encompassing, amongst others, privacy, confidentiality, insurance, warranty, indemnification, representation, and liability requirements, fostering fairness and robustness.
- Leads procurement legal negotiations to achieve optimal legal terms & conditions while ensuring alignment with legal goals.
- Provides status updates on procurement legal negotiations directly to the General Counsel, offering insights and recommendations for strategic legal decision-making.
- Develops and maintains procurement contract templates such as standard Master Service Agreement, Data Sharing Agreement and Non-Disclosure Agreement.
- Collaborates with departments to ensure insurance requirements arising from procurement contracts are complied with, such as certificates of insurance, additional insured status, and waivers of subrogation.
- Manages proper execution and archiving of procurement contracts with signature and archiving software.
- Assists with or leads additional legal initiatives as directed by the General Counsel.
Secondarily, reporting to the Vice President, Finance & CFO (expected 40% or so of time, subject to change) :
Develops, maintains, and enforces business policies & procedures related to procurement selection, encompassing, amongst others, vendors screening, requests for proposal, triple-bidding requirement, and purchase requisitions, fostering transparency and competitiveness.Leads procurement business negotiations to achieve optimal business terms & conditions while ensuring alignment with business goals.Provides status updates on procurement business negotiations directly to the VP, Finance & CFO, offering insights and recommendations for strategic business decision-making.Collaborates with departments to evaluate procurement options, to secure necessary approvals, and to address upcoming contract renewals or expirations proactively.Assists with or leads additional business initiatives as directed by the VP, Finance & CFO.Required Skills / Attributes :

Law Degree (J.D., B.C.L., LL.L or LL.B) a requirement for this position.Business Degree is considered an asset.Minimum 5 years of call as a lawyer, with a license in good standing with a Canadian law society.Strong records as a lawyer in legal and business roles.French or Japanese language proficiency an asset.Demonstrated passion for the automotive industry a strong asset.Physical Conditions :
