The Legal Affairs Director, reporting to the Vice president and Chief of Administration Officer, is responsible for overseeing and managing all legal matters within the company, ensuring compliance with applicable laws, regulations, and industry standards in the construction sector. This role requires a proactive leader who can manage risk, provide strategic legal guidance, and support Borea’s growth and operations through sound legal advice and representation.

- Legaldegree from an accredited university
- Member ofthe Quebec Bar and any other relevant jurisdiction
- Minimumof 10 years of legal experience, with at least 6 years in the constructionindustry
- Provenexpertise in construction law, contract negotiation, regulatory compliance, anddispute resolution
- Strongleadership skills and ability to manage cross-functional teams
- Excellentcommunication, in French and in English, oral and written
- Abilityto think strategically and provide practical legal solutions
- Strongorganizational skills and attention to detail
- DesiredAttributes :
- In-depthknowledge of construction regulations, contract law, building codes, and safetystandards.
- Experience working with contractors, subcontractors, and regulatory agencies.
- Strongbusiness acumen and the ability to align legal strategies with corporateobjectives.
- Proactive, solution-oriented, and able to handle complex legal issues in afast-paced environment.
- PhysicalRequirements :
- Ability to work in an office environment and visit the Quebec office.
- Abilityto work long hours when necessary, especially during critical project deadlinesor litigation.
What you will do to complete this mission successfully :
LegalRisk and Contract Management :Review,draft, and negotiate construction contracts, subcontracts, services andprocurement agreements.Providelegal guidance on risk mitigation strategies for ongoing and upcomingconstruction projects and guidance on contract disputes and resolve issuesrelated to contractual obligations.Monitorand analyze changes in construction law, safety regulations, environmentalstandards, and employment laws that may impact the company.DisputeResolution :Safeguardthe interests of the company, its assets, its reputation and that of itsemployees in all legal disputes, including litigation, arbitration, andmediation.Work withexternal legal counsel as necessary.Developand implement strategies for dispute prevention and resolution.Complianceand Regulatory Affairs :Ensurecompliance with all applicable local, provincial and federal laws.Advisesenior management on compliance issues and ensure the company adheres torelevant industry-specific regulations and licensing requirements.Maintainup-to-date knowledge of evolving regulations and legal precedents.CorporateGovernance and Policies :Overseecorporate governance matters and legal implications related to companydecisions.Develop,implement, and review company policies related to legal and regulatorycompliance.Assist inpreparing and maintaining the company’s legal documentation and corporaterecords.ExternalRelations :Liaisewith external legal counsel, government agencies, contractors, and industryassociations to stay informed of legal trends and maintain the company’s goodstanding in the industry.Coordinate with insurance providers and claim management teams to manage claimsand insurance matters.Trainingand Development :Providetraining to staff and project managers on legal issues related to constructioncontracts, regulatory compliance, safety, and dispute resolution.Keepstaff informed on changes to relevant laws and regulations affecting thebusiness.Managethe assignment and completion of mandates granted to external legal counsel andother consultants.Superviseand support the members of the legal department, including overseeing their professionaldevelopment.StrategicSupport :Partnerwith other departments, including procurement, project management, and finance,to provide legal support for the company’s strategic goals.Supportthe business development team in analyzing and negotiating potential mergers,acquisitions, joint ventures, and partnerships.Borea values are part of the energy landscape.
