As a committed long-term investor dedicated to growth and value creation, Stern Partners is focused on companies with unrealized potential and a proven and committed management team.POSITION : Legal CounselREPORTS TO : General CounselLOCATION : Vancouver, BC.HOURS : Full-time or part-timeThere is flexibility to engage the successful candidate on a full-time or part-time basis depending on candidate preference and experience; however Legal Counsel will be expected to attend work at Stern Partners head offices in person.SALARY : $160,000 to $220,000The anticipated full-time base salary for a candidate who fully meets the required competences for this position is $160,000 to $220,000. The actual base salary may differ depending on market conditions and relevant job-related factors.OVERVIEW : Legal Counsel will work independently and in collaboration with the General Counsel in providing legal, business and strategic advice to operating companies and on acquisition and financing transactions.JOB RESPONSIBILITIES : Support operating company management teams by providing legal services and strategic advice relating to a broad range of matters including mergers & acquisitions, corporate reorganizations, debt financing, corporate commercial, employment, insolvency, litigation management, real estate, and regulatory compliance.Assume responsibility for specific projects in the above-noted areas.Keep abreast of legislative changes and advising operating companies on compliance and what legislative changes might mean for their business.Collaborate in providing on-going legal and strategic advice to the Stern Partners legal team and executive management team.Collaborate in the review and assessment of investment opportunities.Lead or assist with acquisitions, corporate development, corporate finance and ongoing business and strategic matters for Stern Partners and its operating companies.Assist in establishing business and legal structures for newly acquired operating companies. Lead or assist in planning and implementing reorganizations.Supervise management of over 200 corporate entities.Instruct and manage external counsel and internal teams in connection with the above.EXPERIENCE AND QUALIFICATIONS : Qualified to practice law in a Canadian or US jurisdiction.Four to eight years of business law experience in one or more of the following areas of practice : mergers & acquisitions, corporate and commercial, and financial services, .COMPETENCIES AND SKILLS : Willingness and aptitude to continually expand your legal and business knowledge, tackle novel legal and business issues, which are outside your core competency, and immerse yourself in understanding the business and industry of the operating companies you will advise and support.Outstanding interpersonal and communication skills, both written and verbal.Ability to quickly risk-assess matters and bring a practical approach to problem solving, considering legal issues and progressing transactions.Proven track record of learning quickly, taking initiative and being resourceful.Able to work with a broad range of personalities in a variety of industries.Able to work independently and as part of a team in a fast-paced, dynamic and pressured multi-project environment.Excellent legal drafter and strong attention to detail.This is an exclusive search with Hunter West Legal Recruitment.
