A well-established and reputable Toronto law firm is seeking an experienced Corporate / Commercial Law Clerk with 4+ years of hands-on corporate law experience to join their growing team. This is an excellent opportunity for a detail-oriented, highly organized clerk who thrives in a fast-paced environment and enjoys working on sophisticated corporate transactions.

Responsibilities

• Prepare and file incorporations, amendments, dissolutions, continuances, amalgamations, and extra-provincial registrations
• Maintain and update corporate minute books, including resolutions, registers, ledgers, share issuances, and annual filings
• Assist with corporate reorganizations, mergers, acquisitions, and due diligence reviews
• Draft and prepare various corporate / commercial documents (resolutions, director / officer changes, share transfers, unanimous shareholder agreements, etc.)
• Support corporate transactions from inception to closing with minimal supervision
