KMB Law is seeking a Franchise Law Clerk with 3 - 5 years of experience for its Mississauga office. The successful candidate will be organized, detail-oriented and able to demonstrate strong communication skills along with the professionalism to join our team.

Position Overview :
The Franchise Law Clerk will work with the Partner and associates to assist with preparing documents and packages for the Franchise team.
This position is located at our head office in Mississauga. The hours of work are 9 a.m. 5 p.m., however the successful candidate may be required to work outside of normal business hours to meet business and client needs.
Responsibilities include, among others :
- Preparing and compiling standard, site specific, resale franchise disclosure document ( FDD) packages for prospective franchisee candidates on behalf of the franchisor
- Maintaining and updating FDDs on behalf of franchise systems, updated brand status sheets and prospect sheets
- Utilizing a tickler system for the management and tracking of all related timelines for franchise systems
- Assisting in the drafting of FDDs, franchise agreements and all ancillary agreements in the franchise disclosure process
- Assist with the preparation of documentation related to mergers, acquisitions, share / asset purchase and sale transactions including closing documents, closing agendas and corporate structure charts
- Ability to consult with lawyers and clients and assist in identifying necessary or appropriate corporate documentation, searches and filing requirements in connection with the completion of transaction and routine matters
- Prepare routine minute book documentation (i.e. annual resolutions, changes to directors, officers, registered office address, dividends, share provisions, etc.)
- Prepare and file business name, amendments and / or renewals.
- Prepare and file extra-provincial and territorial registrations, amendments, PPSA registrations and annual returns on behalf of corporations, as required by the various provinces and territories
- Provide and / or coordinate support to lawyers in connection with closing documents, searches, reports and other matters relating to transactions, communications with opposing counsel
- Assist in conducting corporate reviews and related due diligence in connection with transactions; recommend and draft rectification materials
- Other duties as assigned.
Qualifications :
- Minimum of 3 years’ experience working as a franchise law clerk is required
- Proficiency in legal research, document drafting and file management
- Familiarity with legal practice group software including ProLaw is preferred
- Flexibility to work with changing priorities
- Ability to multi-task in a fast-paced environment
- Ability to work independently and take instruction effectively
- Excellent problem-solving skills
- High level of professionalism and initiative
- Accurate proofreading and editing skills to edit and format documents
- Completion of a Law Clerk Diploma is preferred
- Demonstrated commitment to professionalism, integrity, and client service.
