Senior Paralegal, Corporate

As a member of Corporate & Governance, you would be part of a global team supporting Equinix as a multinational, publicly traded corporation. Corporate & Governance is a service organization accountable for global corporate structuring and legal entity compliance and management, along with financing transactions, Board governance and disclosure obligations as a publicly listed company.
We are now looking for a Senior Paralegal, Corporate to be based in our Toronto office. The role will be primarily responsible for providing corporate and transactional support to our stakeholders on various corporate law matters related to governance, regulatory compliance, subsidiary maintenance and corporate transactions, and working with business support functions, in particular for Finance, Tax and Treasury.
A blend of relevant law firm and global public company experience is highly desired. You must be organized and detail-oriented. You have a strong customer service bent and are adept at working with different functions and with all levels of the organization up to and including the Board of Directors. You are proactive, have a strong voice, and have a desire to continuously improve yourself and the team. You are an adept problem solver and are comfortable using your independent judgment and owning processes and decisions.
Responsibilities
Provide support for the Legal Department and its work with the company’s Board of Directors and Board Committees, including the preparation of resolutions / minutes / consents, record keeping and communications using our online Board portal as necessary
Manage and maintain legal aspects of U.S. and international subsidiaries, including entity formation, corporate restructurings and general corporate maintenance, coordinating closely with your global counterparts
Attend to preparation, EDGARization and filing of SEC disclosure documents
Support proxy and annual meeting process, including managing D&O questionnaires
Attend to Nasdaq listing compliance matters
Assist with corporate transactions, including overseeing diligence materials and closings
Maintain corporate data room
Attend to corporate record keeping
Attend to special projects for the Legal Department from time to time as needed
Qualifications
5+ years corporate paralegal experience combining time at a law firm and at a global public company
Bachelor’s degree
Experience providing corporate secretarial support to a Board of Directors
Experience with corporate entity formation and ongoing maintenance using an entity management system
Experience with SEC filings, including proxy preparation
Experience with various corporate transactions, including financing and M&A
Familiarity with online Board portals
Familiarity with online data rooms and data room management
Familiarity with matter management and document management systems
Strong attention to detail and highly organized
Strong communicator
