M&A Tax

Our client in the private equity industry is expanding! They are in need of a Tax professional / CPA with solid M&A tax experience to take on this role.

This person will take on complicated tax planning and devise tax structures. Duties will involve but not limited to :

• High-level planning and modeling of tax for potential acquisitions
• Tax due diligence during pre- closings
• Review of LOI’s and purchase agreements for tax issues.
• Liaising with our tax teams on how to structure our transactions
• Optimizing to mitigate sales taxes on close.
• Leading with tax planning for post-closing income and post-closing adjustments reviews
• Tracking the income tax installments / liabilities post-closing for the Target Entities including any tax reserves deducted / added back and activities as a result of any assessments done for the stub period, reassessment to be processed post-closing and updating tax balances for post-closing adjustment claims
• Assisting the deal team and working with the operational team and external accounting firm for the tax return filings for the first-year post-transaction closing for the portfolio entities / limited partnerships
• Other special projects and helping with tax compliance requirements as available
