As the General Counsel , you will be responsible for overseeing all legal matters and providing expert advice to senior management on legal issues impacting the company. This is a key leadership role where you will ensure compliance with laws and regulations, manage legal risks, and contribute to the achievement of our business objectives. You will be our first in-house lawyer and build a team of legal professional from scratch.

This is a permanent full-time role based at Yorkdale-Toronto.

WHEN YOU JOIN US YOU WILL :

  • Draft and review various commercial agreements, such as supply, joint venture, procurement, nondisclosure, construction, service, warranty, and terms of sales agreements, then advise based on legal implications.
  • Advise client regarding and draft incorporation and corporate organizational documents for federal and various provincial corporations.
  • Advise clients regarding various corporate, partnership, limited partnership, and other corporate structures.
  • Draft legal documentation to implement various tax reorganization structures.
  • Advise clients regarding various types of corporate and commercial transactions, including acquisitions (share and assets), joint ventures, partnerships, and dissolutions.
  • Work with external counsel on any pre-litigation research and preparation.
  • Pioneer the legal team and its practices in an ever-growing environment.
  • Legal and contractual risk management support for all stages of the business projects, including reviewing, commenting, drafting, and assisting in the preparation and negotiation of project contracts as well as providing advice on various project management matters.
  • Represent clients in negotiations, mediations, hearings, and trials, both domestically and internationally, while maintaining the highest standards of professionalism and ethical conduct.
  • Resolve commercial disputes, mediations, arbitrations, litigations, and administrative proceedings by, among other things, drafting position statements, supervising discovery, and negotiating settlement agreements.
  • Handle all legal aspects of commercial real estate purchases and sales, including reviewing title searches, preparing, reviewing, and amending closing documentation, attending to all closing matters, including meeting with clients to review and attend to execution of documentation, registering transactions prepare reporting letters and other transactional documents.
  • Draft commercial leases and amendments.
  • Establish and keep updated applicable real estate precedents, such as leases, purchase and sale agreements.
  • Manage regulatory and compliance-related services.

  • Juris Doctorate (JD) degree (essential).
  • Admitted as a notary public (essential).
  • 8-10 years of commercial real estate and general corporate / commercial experience
  • Licensed with the Law Society of Ontario
  • Strong experience in real estate law and industry knowledge that includes litigation, lease transactions, property management, and purchase and sale transactions.
  • Experience in title insurance underwriting, curative, and claims.
  • Analytical thinker with strong conceptual and research skills.
  • Excellent negotiation, communication and analytical skills.
  • Influential decision-making, organized, professional, and well informed while ensuring that transactions are legal, binding, and in the best interest of the client.
  • WORK AUTHORIZATIONS AND TRAVEL

  • Must be authorized to work in Canada
  • Some Travel maybe required (1 to 2 trips per year)
