About the Role : Our client is seeking a Securities Paralegal to support their busy Business Law practice group. This position offers an opportunity to work with a vibrant and teamoriented group of people. The successful candidate will have experience working in a Canadian law firm be energetic flexible highly motivated and driven to succeed.
Responsibilities :
- Prepare incorporation documents and corporate governance policies including audit committee charters and codes of ethical conduct for review by counsel.
- Draft equity compensation plans for counsel’s review including agreements resolutions plan maintenance and required regulatory filings.
- Prepare proxy materials for general meetings of shareholders of reporting and nonreporting issuers for counsel’s review.
- Liaise with various securities commissions stock exchanges and legal counsels as requested by counsel to ensure compliance with policies acts and regulations.
- Prepare and coordinate brokered and nonbrokered private placements including managing and tracking financing details agreements resolutions list of placees required regulatory filings security issuance and related documents.
- Prepare and coordinate Prospectus offerings Qualifying Transactions reverse takeovers asset acquisitions / dispositions and draft securities and corporate documents / agreements for various transactions.
- Handle general continuous disclosure including news releases and material change reports.
- Conduct SEDAR SEDI TMX Linx CSE Portal Corporations Canada and BC Registry filings.
- Act as SEDI administrator including filing agent duties for insiders and issuers managing issuer profile supplements and filing / maintaining insider reports.
- Perform BC Online Corporate Online and Corporations Canada filings and searches.
- Incorporate companies (BC federal and / or out of country).
- Maintain corporate records including preparation and filing of annual maintenance documents meeting Minutes and Resolutions and various share transactions.
- Maintain ALF database and electronic filing system.
- Provide other file management support as required.
Qualifications :
Paralegal certificate from an accredited institution.Strong experience in securities preferably in a Canadian law firm environment.Excellent organizational skills with the ability to handle a highvolume workload.Advanced technical skills including proficiency in MS Word MS Excel SEDAR and SEDI.Key Competencies :
