The Manager, Legal is a law clerk that is responsible for partnering with Four Seasons’ (FS) Legal and Finance teams to support and manage the overall corporate subsidiaries creation and maintenance process in the Europe, Middle East and Africa Region (the “EMEA Region”). In addition, they will be involved with general legal administration and recordkeeping in respect of the EMEA Region.
Key Activities
Corporate Subsidiary Creation and Maintenance in the EMEA Region
Assist outside counsel and other FS departments with the incorporation of new FS subsidiaries
Support with branch creation
Organize and maintain the corporate legal records and corporate charts of FS related entities in the EMEA Region
Oversee the annual maintenance of items such as, but not limited to annual corporate filings for entities in the EMEA Region
Support KYC requests with the creation of corporate charts and certificates
Maintain EMB database including, but not limited to tracking the database’s status and information for the company and its subsidiaries
Support with dissolutions, wind-ups, reorganizations as directed by the Finance / Tax teams
Prepare annual resolutions, resolutions for changes of Officers and Directors, and other corporate resolutions as requested from time to time
Work with local law firms and corporate services firms around the world as needed in connection with the foregoing
General Legal Administration in the EMEA Region
Assist with the ongoing maintenance or co-ordination of liquor and spa licenses and / or renewals held by FS Properties or its Officers
Maintain records and ensure the safekeeping of FS negotiable instruments
Other duties as required
Filing / Record Keeping / Minute Books for the EMEA Region
Organize and maintain files and documents
Education & Experience
Relevant University Degree or College Diploma
5+ years of Law Clerk experience in a major law firm, corporate services firm, or public company
Key Competencies
Knowledge of various corporate processes
Knowledge of procedures of incorporation and organization of companies and various jurisdiction requirements / laws in corporate law
Legal data base creation and maintenance
Legal document drafting skills
This role will be a Hybrid working model, which will require 3 days per week in the Four Seasons Corporate Office located at 1165 Leslie Street, Toronto, Ontario #LI-Hybrid
