Job description

About NanoXploreNanoXplore is one of the world's largest graphene manufacturers, and one of the few companies producing graphene at industrial scale. From our Montréal headquarters and manufacturing operations across Canada and the United States, we supply high-volume graphene powder and graphene-enhanced plastic and composite products to customers in transportation, automotive, industrial and consumer markets. We are a publicly traded company (TSX: GRA) in a growth and scale-up phase - building capacity, commercializing new products, and converting a differentiated technology into durable profitability. It is a rare combination: the discipline of a public company with the pace and open field of a company still writing its playbook. The OpportunityReporting to the Chief Financial Officer, the Vice President, Finance holds senior financial leadership responsibility for a publicly traded corporation operating in Canada and the United States. You will act as the CFO's designate, safeguard the integrity of our financial reporting and internal controls, take a leading role in our capital markets and investor relations activity, and serve as a trusted advisor to the executive team, the Board of Directors and its Audit Committee. This is not a back-office finance role. It faces two directions at once. Inward, you will sit close to the plants and to the P&L - partnering with Operations to improve margin, generate cash and de-risk the business as we scale. Outward, you will be a senior finance voice to the market, helping carry our equity story to investors, analysts and lenders and securing the capital that funds our growth. What You Will DoFinancial reporting and compliance. Direct all accounting, consolidation, financial reporting, tax and internal-control functions. Lead the preparation and certification of quarterly and annual financial statements, MD&A and regulatory filings under IFRS/US GAAP and Canadian (TSX/CSA) and U.S. (SEC) requirements.Capital markets and financing. Help lead NanoXplore's access to capital. Manage capital structure and capital allocation; plan and execute equity and debt financings, credit and lending facilities, government funding programs and related transactions; maintain covenant compliance and liquidity headroom; and manage relationships with lenders, banks, underwriters and rating agencies. Build the analysis - valuation, cost of capital, dilution, scenario and sensitivity work - that supports every financing and capital-allocation decision.Investor relations. Take a leading role across the full investor-relations cycle alongside the CEO and CFO: quarterly results and earnings calls, investor presentations, guidance and disclosure materials, roadshows, conferences and one-on-one meetings, and ongoing dialogue with sell-side analysts, institutional and retail shareholders. Own the integrity of the equity story - that the numbers, the narrative and the guidance are consistent, defensible and clearly understood by the market - and keep the executive team and Board informed through consensus tracking, peer and valuation benchmarking, shareholder registry analysis and market intelligence.Operational partnership and profitability. Partner with Operations and site leadership to drive profitability - plant, product and program-level margin analysis, standard costing, yield and capacity economics, capital-project business cases and post-investment reviews. Translate what happens on the floor into financial outcomes, and give operating leaders the numbers they need to act on.Cash flow generation. Own the cash agenda: working-capital discipline across inventory, receivables and payables, cash-conversion improvement, capital-expenditure prioritization, and free-cash-flow forecasting - with clear targets and accountability across the business.Risk identification and mitigation. Lead enterprise financial risk management: identify, quantify and mitigate exposure across foreign exchange, raw-material and commodity cost, credit and counterparty risk, liquidity and covenant headroom, customer and supplier concentration, contractual commitments and insurance coverage. Maintain the risk register and report on it to the CFO, the executive team and the Audit Committee.Planning and forecasting. Oversee the annual budget, rolling forecasts, capital-expenditure planning, headcount and long-range financial planning, and hold the organization to it. Manage liquidity and cash, banking operations and foreign-exchange exposure across Canadian- and U.S.-dollar operations.Disclosure and internal controls. Play a leadership role in the Company's disclosure process. Establish and maintain effective disclosure controls and procedures and internal controls over financial reporting (ICFR), and ensure compliance with applicable certification requirements. Serve as primary liaison to the Audit Committee and external auditors, and manage the annual audit.Integrity and transparency. Set and uphold the highest standards of financial integrity, ethical conduct and transparency. Maintain effective fraud-risk management and investigation protocols, and ensure financial concerns can be raised and escalated without interference or fear of retaliation.Corporate strategy and M&A. Partner with the CEO and executive team on corporate strategy, business plans, business cases and investment decisions, and lead financial due diligence, valuation, structuring and integration on mergers, acquisitions and partnerships.Governance and compliance. Ensure compliance with applicable tax, corporate, securities and financial legislation in both Canada and the United States, and protect the assets of the company.Finance capability and systems. Build the finance function, systems architecture, data environment and control framework required for the Company's next stage of growth - a faster, cleaner close and consolidation, sharper forecasting, and management reporting and decision analytics the business can actually run on.Leadership and succession. Recruit, develop, coach and lead the finance, accounting, tax and treasury teams across all sites, including the Corporate Controller, Financial Reporting, FP&A, Treasury, Tax and U.S. Finance leads. Build organizational capability and succession depth - clear accountabilities, future leaders in development, and no critical financial responsibility resting too heavily on any one individual. What You BringChartered Professional Accountant (CPA) designation; an MBA or master's degree in finance or accounting is an asset.12+ years of progressive finance leadership experience, including senior finance leadership (CFO, VP Finance or equivalent) in a publicly traded company.Experience leading finance for cross-border operations in Canada and the United States.Expert knowledge of IFRS and US GAAP, and of Canadian (TSX/CSA) and U.S. (SEC) continuous-disclosure and reporting obligations.Proven experience with internal controls over financial reporting (ICFR), SOX / NI 52-109 certification, Audit Committee reporting and external auditor management.Manufacturing, industrial or other asset-intensive experience, with real comfort in plant costing, margin analysis and working-capital management.Direct, hands-on capital markets and investor relations experience in a public company - earnings cycles and disclosure, equity and debt financings, roadshows and investor days, and sustained engagement with sell-side analysts, institutional investors, lenders and rating agencies.A credible external presence: able to present the company's financial and equity story to sophisticated investors and stand behind it under scrutiny.Strong treasury, financing, foreign-exchange and risk-management background, with M&A transaction experience.Fluency in French and English, spoken and written. Knowledge of English is required to interact daily with our U.S. sites, customers, lenders and investors, and to meet our disclosure obligations with U.S. regulators.Advanced systems proficiency - ERP, consolidation and financial-planning tools, and Microsoft Excel.Strong leadership presence, with excellent analytical, strategic and problem-solving ability, and the credibility to advise a CEO, a Board and an Audit Committee. How You LeadUnquestioned integrity and sound judgment. The courage to challenge and to escalate - including upward.Calm under market pressure. The ability to simplify complexity, for a boardroom and a plant floor alike.A bias for action that never comes at the cost of control.Proven steadiness leading through volatility and periods of tight capitalfort alternating between strategic leadership and hands-on execution. What Success Looks LikeAccurate, timely financial reporting and forecasts that executives and the Board can make decisions on.Measurable, sustained improvement in cash flow, working capital, margin and operating expense.Financial and business risks identified early, quantified, and actively mitigated rather than reported after the fact.Internal controls and disclosure obligations fully met in both Canada and the United States.A clear, consistent equity story that the market understands - guidance that holds, disclosure that stands up, and capital secured on good terms when the business needs it.Trusted relationships with the CEO, Board, Audit Committee, auditors, lenders, analysts and investors.A high-performing, well-developed finance organization across both countries.Working DetailsBased at our Montréal corporate head office.Travel between Canadian and U.S. sites and to investor and Board meetings as required.Periods of peak workload around quarter-end, year-end, budget and reporting deadlines.
