Join WSP's global corporate legal team based in Montreal and play a key role in supporting the governance, compliance, and equity compensation programs of one of the world's leading professional services firms.

As Legal Counsel, Corporate Governance, Global Equity & Compliance; you will work closely with internal stakeholders and external advisors on matters relating to securities law, corporate governance, executive compensation, and regulatory compliance across multiple jurisdictions. This is an exciting opportunity for a legal professional who enjoys combining technical expertise with strategic business partnership in a dynamic global environment.

Your Impact

• Support in the project management and establishment of a global ESPP and equity plan compliance program, in collaboration with other subject matter experts, covering securities, exchange control, tax, labour law and other regulatory considerations;
• Coordinate and maintain a centralized compliance database and workflow management platform for ESPP and equity plans ;
• Interpret and implement global legislative and regulatory changes affecting equity compensation and ensure timely updates to compliance processes ;
• Coordinate and execute on regulatory filings related to ESPP and equity plans compliance;
• Provide advice and legal support on various securities law matters relevant to a publicly traded company, especially within the context of executive compensation plans;
• Provide advice and legal support on corporate governance and other matters that are relevant to the boards of directors of a reporting issuer;
• Support in the development and implementation of governance processes around equity compensation programs;
• Support in the preparation of the Management Information Circular;
• Perform all related tasks.

The Skills That Set You Apart

• 3 to 5 years of legal work experience focused on securities and corporate matters acquired in the legal department of a large international company, a major law firm, or a combination of both;
• Member of the Barreau du Québec or a law society in another Canadian province or territory;
• Highly autonomous and motivated, strong analytical skills;
• Detail-oriented, project management skills, administrative and organisational skills
• Good writing skills, ability to foresee and assess the business consequences of legal advice;
• Excellent interpersonal and collaboration skills;
• Strong ability to work in a team setting;
• Fluency in English, both oral and written;
• Tech savvy, proficient in all Microsoft Office suite including SharePoint, Teams.

Compensation

AB, BC, NT, NU, SK & YT: $98,800 - $130,800

MB & ON: $90,100 - $124,100

NB, NL, NS, PE & QC: $89,200 - $118,500
