Purpose & Objective

SAP seeks a Senior Legal Counsel to support its Canadian business with a particular focus on Quebec and other French-language matters. The successful candidate will provide practical business-oriented legal advice across a broad range of commercial regulatory contracting procurement technology privacy language and policy-related matters.

This role is well suited for a lawyer with experience in the software cloud technology consulting telecommunications or enterprise solutions sector who is comfortable working closely with sales services compliance finance data protection security and other internal stakeholders. The role requires excellent legal judgement strong drafting and negotiation skills the ability to manage multiplecomplexmatters simultaneously and the confidence to advise business leaders in a fast-paced multinational environment.

Strong French-language capability is essential. The successful candidate must be able to draft review negotiate and advise in French on complex legal and business matters particularly where Quebec law customers procurement requirements language requirements or public policy considerations are involved. Englishproficiencyis alsorequiredto collaborate effectively with SAPs Canadian North American and global teams.

Duties & Responsibilities

  • Prepare review negotiate and advise on a broad range of customer partner supplier services cloud software and technology-related agreements.
  • Support commercial negotiations across SAPs lines of business including cloud services software licensing professional services data protection security confidentiality intellectual property procurement and related risk areas.
  • Provide legal support for Quebec and other French-language matters including contract drafting and negotiation in French review of French-language materials and advice on applicable legal regulatory procurement language privacy and policy considerations.
  • Advise internal stakeholders onlegalimplications of proposed business actions and develop practical risk-balanced solutions aligned with SAP policies and businessobjectives.
  • Work closely with internal teams including Sales Services Commercial Finance Pricing Data Protection Security Revenue Recognition Compliance Procurement and Shared Services during contract drafting review approval and negotiation processes.
  • Support complex transactions byidentifyinglegal and business risks escalating issues appropriately and helping drive matters to resolution ina timelyand commercially reasonable manner.
  • Provide internal client support by acting as a trusted point of contact for sales services account teams business leaders and other internal stakeholdersrequiringlegal guidance.
  • Collaborate with legal colleagues locally regionally and globally to ensure consistency with SAP policies templates approval requirements and risk management practices.
  • Support the developmentlocalisation review or update of contract templates playbooks guidance materials training resources and other legal documentation whererequired.
  • Manage coordinate or work effectively with external counsel whenspecialisedlocal advice oradditionalsupport is required.
  • Monitor relevant legal and regulatory developments affecting SAPs Canadian business with particular attention to French-language and Quebec-related matters.
  • Undertake special projects andadditionallegal responsibilities as assigned by the supervisor.

Education & Skills

  • Universitydegree in law isrequired.
  • Membership in good standing with a Canadian law society is preferred; membership with the Barreau du Québec or another relevant Canadian law society would be an asset.
  • Strong French-language legal drafting negotiation and advisory skills arerequired.
  • Strong English-language skills arerequiredfor collaboration with internal Canadian North American and global stakeholders.
  • At least 7 years of relevant legal experience is preferred ideally including experience in the software cloud technology consulting telecommunications or enterprise services sector.
  • Proven experience negotiating and advising on complex commercial technology cloud software services licensing procurement privacy security and related agreements.
  • Experience supporting Quebec-related matters French-language contracting public-sector or procurement matters policy-sensitive issues or regulated customer environments would be an asset.
  • Strong business judgement and ability to provide practical solution-oriented legal advice in a fast-paced environment.
  • Ability to manage multiple matters simultaneouslyprioritiseeffectively and work both independently and collaboratively.
  • Strong interpersonal skills sound judgement attention to detail and ability to build trusted relationships with business stakeholders and legal colleagues.
  • Experience working in a multinationalorganisation matrixed environment or with cross-border teams would be an asset.

Mission et objectif

SAP recherche un conseiller juridique confirmé pour soutenir ses activités au Canada plus particulièrement au Québec et pour les autres affaires où le français occupe une place importante. Le candidat retenu fournira des conseils juridiques pratiques axés sur les activités pour un large éventail de questions liées au droit commercial à la réglementation aux contrats à lapprovisionnement à la technologie à la confidentialité aux exigences linguistiques et aux politiques.

La personne idéale dans ce rôle serait un juriste possédant de lexpérience dans les secteurs des logiciels du nuage de la technologie du conseil des télécommunications ou des solutions dentreprise qui na pas peur de collaborer étroitement avec les équipes des ventes des services de la conformité de la finance de la protection des données et de la sécurité ainsi quavec dautres parties prenantes internes. Le poste exige un excellent discernement digne dun juriste de solides compétences en rédaction et en négociation la capacité à gérer simultanément plusieurs affaires complexes ainsi que lassurance nécessaire pour conseiller les dirigeants dans un environnement multinational dynamique.

La maîtrise du français est essentielle. Le candidat retenu devra être capable de rédiger du contenu dexaminer de négocier et de conseiller en français sur des affaires juridiques et commerciales complexes notamment lorsque le droit québécois des clients des obligations en matière dapprovisionnement des exigences linguistiques ou des considérations relatives aux politiques publiques sont en jeu. La maîtrise de langlais est également requise pour collaborer efficacement avec les équipes canadiennes nord-américaines et internationales de SAP.

Tâches et responsabilités

  • Préparer examiner négocier et fournir des conseils pour un large éventail de contrats conclus avec des clients partenaires et fournisseurs en lien avec des services solutions infonuagiques logiciels et technologies.
  • Apporter son soutien dans les négociations commerciales pour les différents secteurs dactivité de SAP notamment les services infonuagiques les licences de logiciels les services professionnels la protection des données la sécurité la confidentialité la propriété intellectuelle lapprovisionnement et les risques connexes.
  • Fournir une assistance juridique pour le Québec et les autres affaires en langue française notamment la rédaction et la négociation de contrats en français la révision de documents en français et lapport de conseils sur des considérations applicables dordre juridique réglementaire linguistique touchant à lapprovisionnement à la confidentialité et aux politiques.
  • Conseiller les parties prenantes internes sur les implications juridiques des actions commerciales proposées et élaborer des solutions pratiques tenant compte du risque qui sont conformes aux politiques et aux objectifs de SAP.
  • Travailler en étroite collaboration avec les équipes internes lors des processus de rédaction de révision dapprobation et de négociation des contrats notamment avec les équipes chargées des ventes des services des finances commerciales de la tarification de la protection des données dela sécurité de la constatation des produits de la conformité de lapprovisionnement et des services partagés.
  • Assister les transactions complexes en identifiant les risques juridiques et commerciaux en faisant remonter les problèmes aux échelons supérieurs lorsque nécessaire et en contribuant à leur résolution en temps voulu au travers dune approche commercialement raisonnable.
  • Soutenir les clients internes en simposant comme linterlocuteur principal de confiance pour les équipes des ventes des services des comptes ainsi que les dirigeants et les autres parties prenantes internes sollicitant des conseils juridiques.
  • Collaborer avec les collègues juristes aux niveaux local régional et mondial afin de garantir une cohérence avec les politiques les modèles les exigences dapprobation et les pratiques de gestion des risques de SAP.
  • Contribuer à la rédaction à la localisation à la révision et à la mise à jour des modèles de contrats des manuels des documents dorientation des ressources de formation et autres documents juridiques le cas échéant.
  • Gérer se coordonner ou collaborer efficacement avec des conseillers externes lorsque des conseils locaux spécialisés ou une assistance supplémentaire sont requis.
  • Suivre lévolution des dispositions juridiques et réglementaires pertinentes pour les activités de SAP au Canada en particulier les affaires impliquant la langue française et le Québec.
  • Entreprendre des projets spéciaux et assumer des responsabilités juridiques supplémentaires lorsque de telles tâches sont confiées par le superviseur.

Formation et compétences

  • Diplôme universitaire en droit obligatoire.
  • Membre en règle dun barreau canadien souhaité; une adhésion au Barreau du Québec ou à un autre barreau canadien pertinent serait un atout.
  • Excellentes compétences de rédaction négociation et conseils juridiques en langue française requises.
  • Maîtrise de langlais requise pour collaborer avec les parties prenantes internes au Canada en Amérique du Nord et à léchelle mondiale.
  • Au moins 7ans dexpérience juridique pertinente souhaitées idéalement dans les secteurs des logiciels du nuage de la technologie du conseil des télécommunications ou des services dentreprise.
  • Expérience avérée dans la négociation et le conseil pour des contrats complexes portant sur le commerce la technologie le nuage les logiciels les services les licences lapprovisionnement la confidentialité la sécurité et des domaines connexes.
  • Une expérience dans les disciplines suivantes serait un atout: la gestion daffaires liées au Québec la rédaction de contrats en français les marchés publics ou lapprovisionnement les questions régies par des politiques ou les environnements clients réglementés.

The targeted combined range for this position is 00CAD.
