Job Summary
This role sits within People, Culture and Talent (PC&T) Rewards, Recognition and Performance (RRP). The contractor will be focused on regulatory awareness and monitoring, serving as a compensation governance / regulatory compliance specialist with a heavy emphasis on research, analysis, and implementation of regulatory requirements, particularly in the U.S. (SEC and related regulations). The team is collaborative in nature, with a team size of 6 in the RRP department, and the candidate will work on a daily basis with the Manager and Director.
Key Responsibilities
- Identify regulatory requirements impacting any compensation plans including those of senior executives/material risk takers.
- Focus on legislation from prudential regulators, across all jurisdictions where the organization has employees (e.g., key areas are Governance, Risk Management, Financial Accountability).
- Identify and maintain a list of enterprise oversight functions (OFs) that monitor relevant regulators and/or regulations that contain obligations for governance/risk management over incentive/variable compensation globally.
- Establish relationships with OFs, ensuring they are bringing forward any regulatory developments for assessment.
- Assess any regulatory developments (including but not limited to SEC clawback provisions) to determine whether compensation plans are compliant and provide updates to HR OF Lead and Total Rewards Leadership.
- Informally monitor for developments but does not act as an OF and is not subject to RCM program requirements (subject area is outside employment law).
- Prepare responses to PC&T (People Culture and Talent) Regulatory Affairs team in HRSS with regard to all regulatory compliance management requirements for the Security Exchange Commission clawback regulatory group topic (RGT).
