We operate in a fast-paced, entrepreneurial environment and advise business owners and professionals across a range of industries. We are seeking a Corporate Associate (3+) to join our growing team in a fully remote capacity. This role is suited for a lawyer who can work independently, manage files with minimal supervision, and take ownership of client relationships. Key Responsibilities • Draft, review, and negotiate a broad range of corporate and commercial agreements, including share/asset purchase agreements, shareholder agreements, financing documents, leases, employment agreements, independent contractor agreements and related transaction documents. • Manage and execute M&A transactions, financings, and corporate reorganizations, including due diligence and closings. • Advise clients on incorporations, corporate structuring, governance, and ongoing corporate matters. • Collaborate with tax advisors to implement tax-efficient structures and reorganizations. • Independently manage files, timelines, and client expectations. • Provide practical, business-oriented legal advice to entrepreneurs and owner-managed businesses. • Build and maintain strong client relationships. • Contribute to business development and firm growth initiatives. Qualifications • 3+ years of corporate transactional experience at a reputable law firm. • Member in good standing with the Law Society of Ontario (LSO) or another provincial law society. • Proven ability to manage transactions and corporate files with limited supervision. • Experience advising small to mid-market private companies. • Strong drafting, negotiation, and organizational skills. • Ability to thrive in a remote, fast-paced environment and manage competing deadlines. • Strong communication skills and sound professional judgment. • Entrepreneurial mindset with a proactive approach to client service and practice growth. • Training/experience at a mid-large sized corporate firm would be an asset.
