Job Overview: ZenaTech, Inc. is hiring a Corporate Counsel with a minimum of one to two years experience in M&A (articling experience included) with particular focus on Canadian public companies. This is a hands-on role involving research, diligence, documentation preparation, strategic advice, regulatory filings, and transaction support across all stages of the M&A process. A successful candidate is expected to have a high degree of attention to detail and have a basic understanding of Canadian securities regulations. The role is unique as you will be engaged in deal strategy and regulatory compliance on the public side, with significant target company investor or advisor engagement. This is a junior-level role suited for someone looking to develop their skills in the M&A and securities fields. The successful candidate will work with our outside counsels and under the guidance of our management team. Key Responsibilities: 1. Monitor share ownership thresholds and manage disclosure obligations under NI 62-103 and the early warning regime. 2. Prepare and coordinate early warning reports and related filings with external counsel. 3. Track acquisition milestones and ensure timely filing on SEDAR+. 4. Advise on resale restrictions and control block considerations under applicable provincial securities legislation. 5. Manage filing requirements for control person dispositions and related transactions. 6. Maintain internal records of control person status across target holdings. 7. Ensure adherence to NI 62-104 requirements including preparation and review of bid circulars. 8. Manage minimum tender conditions, deposit mechanics, and withdrawal rights. 9. Support the deal team through all phases of a formal or exempt takeover bid. 10. Assist in meeting material change reporting obligations under MI 51-102. 11. Support insider reporting requirements and maintain accurate insider profiles. 12. Monitor timely disclosure obligations and coordinate with issuers and external counsel as needed. 13. Conduct regulatory due diligence on TSX-V and CSE listed target companies. 14. Draft and review transaction documents including term sheets, LOIs, support agreements, and ancillary agreements. 15. Research issuer histories, trading halts, cease trade orders, and regulatory flags. 16. Maintain deal trackers, filing calendars, and compliance checklists. 17. Other in-house legal-related tasks, as needed from time to time. Qualifications: 1. LLB or J.D. degree; post-articling and called to the bar and in good-standing in at least one Canadian province. 2. at least 1-2 years of experience in securities law, corporate law, and M&A at a law firm or in-house company. 3. Working knowledge of NI 62-103, NI 62-104, MI 51-102, and applicable provincial securities legislation. 4. Familiarity with TSX-V and CSE listed issuers and their regulatory environment. 5. Experience with SEDAR+ and insider reporting via SEDI is not required, but is an asset. 6. Experience with U.S. securities, corporate law or M&A is not required, but is an asset. 7.
