Corporate Secretary/Senior Paralegal role
Corporate financings
End-to-end drafting of and completion of IPOs, qualifying transactions, public and private financings
Liaise with clients’ in house or external legal counsel to foster streamlined process for transactions
Corporate
Incorporation of provincial and federal corporations
Attend to reorganizations, amalgamations, continuances, restorations and dissolutions
Board Meetings/Management
Preparation of notices, agendas and board books
Attendance (in person or remotely) at board and committee meetings as requested
Preparation of meeting minutes and follow up/tracking of any action items (this assists with preparation of agendas for future meetings)
Preparation of consent resolutions
Maintenance (and storing if required) of minute books and other corporate records (physical books and/or transition to and maintenance of digital minute books)
Regulatory and Filings
Filing annual reports with the registrar
Filing annual business licenses as required
Monitoring and ensuring compliance with regulatory deadlines
Completion and submission of stock exchange forms
Preparation of regulatory filings: Registration Statements, Form 1s (TSX); Form 4G (CSE); quarterly filings and annual filings
Preparation and filing of CEO/CFO quarterly and annual certifications
Preparation and filing of material change reports
Preparation, dissemination and filing of news releases
Preparation and filing of Annual Information Forms
SEDI filings for insiders as required/requested
SEDAR+ filings
Shareholder Meetings
Manage annual and/or special meeting processes and documentation (in coordination with transfer agent and legal counsel) including:
Setting meeting (and related) dates
Drafting of management information circulars and proxy materials
Booking the venue, managing logistics
Drafting the chairman’s script for meeting
Attendance at the meeting
Preparing minutes
Securities Management
Maintenance of share issuance registers
Maintenance of stock option and/or warrant registers
Management and coordination of warrant re-registrations and exercise of warrants and stock options
Preparation of treasury orders/submission of treasury directions as necessary
Coordination with/of transfer agent as required
