Senior Corporate Paralegal

Department : Legal

Location : Laval (4204 Industrial Blvd., Laval)

Hybrid mode : 3 days at the Laval office and 2 days remotely

Type of employment : Permanent

THE ROLE

Join a dynamic global legal team under the supervision of the Head of Corporate Legal Affairs, supporting an exciting portfolio with opportunities to learn and grow in an environment where your talents are valued and your contributions make a real difference.

Core Responsibilities :

  • Draft resolutions and corporate documents for ACT and its subsidiaries, including changes of directors and officers, dividend declarations, share issues and transfers, incorporations, dissolutions, and liquidations, as well as resolutions related to commercial and corporate transactions.
  • Draft documents for corporate reorganizations and recurring step plans in collaboration with the tax team.
  • Prepare annual declarations / reports, update declarations, and assist with corporate reports for the ACT Group, including permit and license applications.
  • Manage resolutions in lieu of annual meetings for certain ACT subsidiaries.
  • Update banking resolutions, certificates of incumbency, and other corporate info for the treasury team.
  • Conduct verifications and searches of public registers.
  • Handle administrative management of files, filing, and updating in computerized systems.

Additional Collaboration with the Global Legal Team :

  • Assist in preparing disclosure documents, share buyback notices, private placement notices, etc.
  • Assist with filing documents via SEDAR+, SEDI, and prescribed forms with the TSX.
  • Manage ACT’s trademark and patent portfolio.
  • Support ACT’s North American data privacy framework.
  • WHAT YOU'LL NEED

  • Paralegal diploma or equivalent training.
  • At least 10 years of experience in corporate law, preferably in a large firm or company.
  • Bilingual in French and English.
  • Strong organizational, prioritization, and planning skills.
  • Ability to handle multiple files with a rigorous and proactive approach.
  • Confidentiality and sound judgment.
  • Knowledge of the Business Corporations Act (Québec) and Canada Business Corporations Act.
  • Understanding of securities laws (asset if known).
  • Knowledge of Thomson Reuters Legal Tracker (asset).
  • Proficiency in electronic filing systems (SEDAR+, SEDI) (asset).
  • Curiosity and willingness to learn about securities law.
